国浩置地联號4.7亿卖地

(吉隆坡19日讯)国浩置地(GUOCO,1503,主板產业股)宣布,其联號--Vintage Heights私人有限公司,建议以4亿7499万令吉,脱售位于雪兰莪雪邦一块占地679.2英亩的地皮,予布城產业公司。

国浩置地在文告中指出,一旦完成售地,Vintage Heights私人有限公司预计將从中取得约2亿9000万令吉净利。按国浩置地在Vintage Heights公司的持股比重40%计算,该公司可取得当中的1亿1600万令吉,进而將其每股净利和每股净资產提高约17.31仙。

另外,文告也称,Vintage Heights公司脱售土地所得的资金,將充当营运资本、偿还贷款或回退给股东。

据国浩置地的文告,合成统一(HAPSENG,3034,主板贸服股)是VintageHeights私人有限公司的股东。

Vintage Heights公司是在1992年3月27日向合成统一收购以上地皮,投资成本为5048万令吉。

文告说,该佔地679.2英亩的地皮,现用以种植棕油树。

国浩置地表示,预计以上土地脱售建议將在明年下半年完成。【东方网财经】

国浩售DCTower价格公平合理

(吉隆坡20日讯)国浩置地(GUOCO,1503,主板產业股)今天宣佈,其独立顾问英特太平洋证券认为,国浩置地通过子公司丰隆房地產控股私人有限公司,以1亿8933万令吉將DC Tower有限公司卖给丰隆银行,是公平及合理的交易。

根据英特太平洋证券发佈的建议书,国浩置地是以公平及合理的价格卖掉DC Tower公司,国浩置地股东应该在特別股东大会(EGM)投下赞成票。

与此同时,英特太平洋指出,根据Rahim&Co特许调查私人有限公司的评估,DCTower公司旗下的办公大楼(Tower A),市值是每平方呎1150令吉,和交易价相符。

该证券行补充,「除了TowerA办公楼之外,DCTower公司已经没有其他大型固定资產。因此,我们认为DCTower公司的转手价是公平及合理。」【东方网财经】

该地段位于吉隆坡樟卡嘉炳路(Jalan Changkat Kia Peng),面积达2917平方米。

该公司初期的投资额是5546万令吉,截至今年6月30日,账面净值6174万令吉。

國浩置地脫售未帶來激勵

(吉隆坡7日訊)國浩置地(GUOCO,1503,主板產業組)脫售巴生河流域土地及產業釋放資產價值。

截至目前為止,該公司已脫售4項資產─DC大樓、Pandan大樓辦公室及停車場、雪邦679.2公頃土地及吉隆坡Changkat Kia Peng路2千917平方公尺地段,脫售所得現金約5億3千萬令吉。

不過該股未有太大反應,主要是股東獲益小,因現金將用於償還龐大債務及用於運營資本。

分析員指出,國浩置地在產業發展方面不夠創意及競爭力,卻有其價值,由於未從中獲取更多現金,市場會如何重估還不得而知。

“若持續資本化資產,價值隨時會浮現,因該公司在巴生河流域、馬六甲還有大量地庫及擁有兩間豪華酒店。”

2015年年報顯示,該公司在大馬持有至少9千272.7英畝土地,總值10億8千萬令吉,未發展地段3千918英畝,價值5億3千300萬令吉;另外也持有價值5億8千340萬令吉商用建築,已完成或未發展資產值11億2千萬令吉。

截至2015財政年6月30日止,國浩置地有總值4億1千900萬令吉資產待售,4項脫售資產中僅雪邦售地所得將部份派給股東。

国浩置地 首季净利飙逾6倍

(吉隆坡12日讯)营业额走高,以及确认投资产业估值所带来的1670万令吉合理价收益推动,国浩置地有限公司(GUOCO,1503,产业组)首季净利飙涨超过6倍。

该集团公布,截至9月底的2016财政年首季,净利达2133万令吉,或每股3.18仙,相较于上财年同期的278万令吉,或每股0.42仙。

首季营业额从2850万令吉,大增148%至7081万令吉,主要因为白沙罗城(Damansara City)住宅项目以及PJ City Corporate Hub的贡献增加。

该集团预计,经济环境不明朗,产业市场前景和市场情绪依然谨慎。

持续脱售资产减债 国浩置地财务趋稳

(吉隆坡26日讯)国浩置地(马)有限公司(GUOCO,1503,产业组)继续在巴生谷脱售土地和产业,以释放资产价值。

迄今,该集团已签订协议出售4项产业,它们分别是DC塔楼私人有限公司、潘丹大厦一些办公室及停车场车位、位于雪邦一幅面积达679.2公顷的土地,以及在吉隆坡一块面积达2917平方米的地段。

它在上述出售中获得约5亿3000万令吉的现金,这较集团截至6月30日止5040万令吉的现金余额高达10倍。

但是国浩置地的股价并没有太大的反应。坦白地说,股东没有得到什么益处,因为该集团将脱售所得的资金用作偿付债权人,借此削减巨额债务,以及进一步加强流动性和营运资本。

一名资产管理公司分析师称:“我个人认为,国浩置地没有什么创意,因为产业业务极具竞争性。虽然该股仍有价值,但我怀疑市场将会对它重新评估,主要是出售资产后没有得到较多的现金。”

也就是说,如果该集团继续套现资产,它的价值可能会反映在股价身上,这是迟早的事。因为它在巴生谷和马六甲雅辛仍然拥有庞大的土地储备,并且拥有2间豪华酒店。

国浩置地在2015年报显示,它在全国拥有至少9272.7英亩的土地,而账面值高达10亿8000万令吉。然而,目前超过半数的土地正在发展中。

该发展商的空置土地储备已达3918.6英亩,价值5亿3300万令吉。除了土地外,它还拥有价值5亿8340万令吉的商业楼宇。而已经完成或没有被发展的资产总值11亿2000万令吉。

在截至2015年6月30日止财政年,它将总值4亿1900万令吉的资产出售,约合每股60仙。

在上述4项脱售中,该集团只有将出售雪邦土地予布城产业私人有限公司所得的部分收益分配给股东。

该片土地以4亿7499万令吉现金出售,由国浩置地持股40%的联营公司Vintage Height私人有限公司所有。交易完成后,前者获得1亿9000万令吉收益,或每股27.12仙。

国浩置地表示:“出售雪邦土地获2亿9000万令吉的净收益。而我们可分到1亿1600万令吉,预计将会归属股东,意味着每股盈利增加17.3仙。”

预计雪邦的土地交易将在明年下半年完成。

在2015财政年度,该集团的净利润为1亿8890万令吉或每股28.2仙。而盈利按年增长23.3%,因为它在上述期间重估投资物业获得1亿8140万令吉的特殊收益。

介于2006至2014年度,它的净利润涨逾3倍多,主要是由重估资产提高收益所推动。撇除该收益,其经常性收益变得很低。在2006财政年,净利润为5076万令吉。

在2015财政年度,国浩置地的债务总额达12亿1000万令吉,而短期借款4亿2480万令吉。今年,它的首项资产交易,就是将DC塔楼私人有限公司售予姊妹公司丰隆银行有限公司(HLBANK,5819,金融组),代价为现金1亿8930万令吉。

DC塔楼持有目前正在进行中,位于武吉白沙罗的白沙罗市综合发展计划下一幢33层办公大楼(A座)的发展和拥有权。丰隆银行将该塔楼用作全球总部。

截至2015年5月31日止,A座大楼完成了71%,而它的净账面价值达1亿9660万令吉。建成后,该大楼将拥有5亿8200万令吉的市值。

据国浩置地指出,估计A座的发展成本高达3亿5060万令吉。预计DC塔楼的出售,将在2016年首季完成。

事实上,该集团拥有总价值超过10亿令吉的资产等待出售,但不包括白沙罗市项目的潜在价值。而上述项目的总发展价值高达25亿令吉。

目前还不知道股东会否获得特别股息,以及它会否继续脱售资产。从外表来看,出售资产的最基本得益是加强集团的资产负债表。【光华日报财经】

国浩置地开放策略合作 更多产业注入超峰产托

(吉隆坡7日讯)丰隆集团的产业臂膀,国浩置地(GUOCO,1503,主板产业股)开放给任何能够为产业发展增值的策略伙伴,且会注入更多产业进超峰产托(TWRREIT,5111,主板产业信托股)。

国浩置地董事经理陈立群日前表示,只要能够为股东带来价值的伙伴,他都会考虑合作。

“在商场上,一直都会有协同效应存在。

假设能够增值,我们都抱着开放的态度。”

7月,有报道指,国浩置地旗下的白沙罗购物商场(DC Mall)已吸引到买家,包括丹斯里林晓春,但之后洽谈却告吹。

他预计,在白沙罗城(Damansara City)完成后,销售和投资将会对集团净利带来贡献。

此外,陈立群表示,将会把旗舰发展项目白沙罗城发展计划内的DC Mall和办公楼注入在超峰产托。

目前,DC Mall和19层的办公楼的价值约7亿至8亿令吉。

白沙罗城发展计划的发展总值为25亿令吉,有5座大楼和以美食为主的购物广场DCMall,预计在明年6月竣工。

陈立群月杪辞职 江文俊接任国浩置地董经

(吉隆坡23日讯)国浩置地(GUOCO,1503,主板产业股)宣布,董事经理陈立群将辞职,由丽阳机构(TROP,5401,主板产业股)前任董事经理拿督江文俊接任。

陈立群同时也辞去在超峰产托(TWRREIT,5111,主板产业信托股)的董事一职,原因是将在丰隆集团担任另一个职位。

根据文告,陈立群的辞职将从12月31日起生效,而江文俊的委任则从明年1月4日起生效。

国浩置地是丰隆集团的产业臂膀。而国浩置地乃持有超峰产托的21.66%股权。

接任的拿督江文俊,原本是丽阳机构的董事经理。他是在今年11月4日,以寻求其他职业机会为由,宣布辞去上述职位。

今年52岁的江文俊,在产业发展及建筑领域,拥有超过26年的经验。

2011年3月1日,他被委任为丽阳机构的执行董事,两年后晋升为副董事经理。

去年3月14日,江文俊正式被擢升为丽阳机构的集团董事经理。

除了接任国浩置地的董事经理一职,他也将担任超峰产托的执行董事。【南洋网财经】

國浩置地次季轉虧748萬

(吉隆坡20日訊)由於旗下產業計劃營收減少,國浩置地(GUOCO,1503,主板產業組)截至2015年12月31日為止,第二季業績由盈轉虧,淨虧損為747萬9千令吉,前期淨利為301萬8千令吉。

第二季的營業額為3千600萬6千令吉,下跌34.89%。首6個月仍取得淨利1千385萬3千令吉,激增138.92%。首6個月的營業額為1億零681萬2千令吉,增加27.45%。

該公司文告指出,該公司旗下產業計劃的第二季營收貢獻較低,包括PJ城、COMMERCE ONE及加影的AMANDAR II計劃,它們在前期作出顯著貢獻。而商業產業計劃的營收減少,部份劣勢受到住宅計劃——白沙羅城市較好貢獻所抵銷。

国浩置地第三季赚1335万

(吉隆坡12日讯)国浩置地(GUOCO,1503,主板产业股)截至3月31日第三季,净利按年扬14.83%,至1335万3000令吉,高于去年同季的1162万9000令吉。

营业额则飙涨172%,从5274万8000令吉增至1亿4346万8000令吉。

当季业绩亮眼,归功于吉隆坡樟卡嘉炳路(Jalan Changkat Kia Peng)土地的售地收益,加上白沙罗镇的住宅项目的营收贡献走高,抵消PJ City、旧巴生路Commerce One和加影Amandarii项目的低贡献。

累积首9个月,净利则按年扬56.11%,达2720万6000令吉;营业额则攀涨83.28%,报2亿5028万令吉。

国浩置地指出,由于经济充斥不确定因素,促使房市展望和情绪持续谨慎,估计今年将充满挑战。【南洋网财经】

GUOCOLAND (MALAYSIA) BERHAD ("GLM")DISPOSAL BY HONG LEONG REAL ESTATE HOLDINGS SDN BHD, A WHOLLY-OWNED SUBSIDIARY OF GLM, OF THE ENTIRE EQUITY INTEREST IN DC TOWER SDN BHD ("DCT")
Reference is made to the announcements dated 3 July 2015, 19 October 2015 and 11 November 2015 in relation to the Disposal (“Announcements”). Unless otherwise stated, words and phrases used in this announcement shall have the same meanings as defined in the aforesaid announcements.

On behalf of GLM, HLIB wishes to announce that the Disposal has been completed. Accordingly, DCT has ceased to be a subsidiary of HLREH. Pursuant to the terms of the SSA, the Purchase Price is determined to be RM168.78 million, based on the management accounts of DCT as at 30 April 2016.

HLREH and HLB shall jointly appoint an Auditor to audit the accounts of DCT. Any increase or reduction in the Purchase Price in a comparison between the Audited Accounts and the Management Accounts shall be paid by HLB or HLREH (as appropriate) within 14 days after the Auditor delivers the Audited Accounts to HLREH and HLB.

GLM writes to inform that Tujuan Optima Sdn Bhd (“TOSB”), a wholly-owned subsidiary of GLM, had on 5 July 2016, entered into a sale and purchase agreement with MV Properties Sdn Bhd (“MVSB”) for the proposed acquisition by TOSB from MVSB of two parcels of land located in Mukim Cheras, Daerah Hulu Langat, Negeri Selangor, for a total cash consideration of RM128,000,000 (“Proposed Acquisition”).

Kindly refer to the attached document for the details of the Proposed Acquisition.

Unless otherwise stated, the terms used in this announcement shall have the same meanings as defined in our earlier announcement dated 5 July 2016.

GLM writes to inform that the Consideration was arrived at on a willing-buyer-willing-seller basis after arm’s length negotiation, taking into consideration GLM Group’s knowledge of the market value of the properties surrounding the Lands and the development potential of the Lands within a precinct of mixed development comprising residential, retail and commercial properties. No independent valuation was arranged by TOSB for the purpose of the Proposed Acquisition.

国浩置地末季净利跌45%

(吉隆坡26日讯)基于已停止业务的亏损影响,国浩置地(GUOCO,1503,主板产业股)截至6月30日末季净利按年大跌45.04%,报9445万9000令吉,或每股净利14.92仙。

受益于脱售白沙罗市大厦(DC Tower)项目录得盈利,该集团末季取得1亿0907万9000令吉的税前净利,较上财年同季高出34.37%,但被已停止业务的亏损所抵消。

末季营业额则按年上升10.68%,至6531万3000令吉。

累计全年,净利下滑35.58%,至1亿2167万2000令吉;营业额则上扬61.38%,报3亿1559万3000令吉。

国浩置地也宣布派息每股2仙。

国浩置地董事部认为,因经济环境不明朗,产业市场情绪会依然谨慎,因此接下来还会面临挑战。
