Arreit被High 5挑战租约的合法性

根据arreit(5127)今天发布的文稿, arreit接获第一原告standard confectionary sdn bhd, 与第二原告high 5 conglomerate berhad发出的庭令与申索陈述书,原告的诉讼大致如下:

  • 原告根据national land code 1965 section 340(1),(2),(3)挑战arrei以silver bird factory业主身份签署lease agreement的合法性。
  • 原告申述之前签署的SNP与lease agreement都是无效兼“不可被执行的”

这事件将在31oct2014被审理。
想更了解national land code 1965,click here, uncle看到8只眼睛~
据我所知high 5已经拖欠arreit(5127)租金,现在还控诉arreit(5127), 且看结局如何。

AmanahRaya-REIT Managers Sdn. Bhd., the Manager of ARREIT, wishes to announce that CIMB Islamic Trustee Berhad, the Trustee of ARREIT (“Trustee”) had on 21 October 2014 been notified by Amanah Raya Berhad that a Writ of Summons and Statement of Claim dated 17 October 2014 , respectively as described hereinabove has been filed by the 1st Plaintiff and 2nd Plaintiff in the High Court of Malaya at Kuala Lumpur.

In its Statement of Claim, the 1st Plaintiff and the 2nd Plaintiff pray for the following orders:

(a) A declaration that the title of Trustee to all that pieces of land held under Geran 285748, Lot No. 62048, Pekan Baru Hicom, District of Petaling, Selangot Darul Ehsan together with a factory complex erected thereon (“Property”) is defeasible by virtue of Section 340(1), (2) and (3) of the National Land Code 1965 (“NLC”);

(b) A declaration that the Statutory Lease dated 6 October 2006 duly registered at the Land Registry vide Presentation No. 11855/2007 in favour of the 2nd Plaintiff (“Registered Lease”) is defeasible by virtue of Section 340(1) of the NLC;

(c) An order that the transfer between Trustee and 1st Defendant (“2nd Transfer”) and the transfer between 1st Plaintiff and 1st Defendant (“1st Transfer”), the Lease Agreement dated 17 May 2006 between 1stDefendant and 2nd Plaintiff (“Lease Agreement”), the Novation Agreement dated 26 September 2007 between 1st Defendant, Trustee and 2nd Plaintiff (“Novation Agreement”) and the Supplemental Agreement dated 7 May 2013 between Trustee and 2nd Plaintiff (“Supplemental Agreement”) be all declared null and void and be set aside;

(d) A declaration that the Sale and Purchase Agreement dated 17 May 2006 between 1st Plaintiff and 1stDefendant and the leaseback arrangement between 2nd Plaintiff and 1st Defendant is fraudulent and illegal and against public policy;

(e) A declaration that the Sale and Purchase Agreement dated 26 September 2007 between 1st Defendant and 2nd Defendant, the Lease Agreement, the Novation Agreement and the Supplemental Agreement be declared null and void and unenforceable;

(f) A consequential order that the Register of Land Titles be directed pursuant to Section 417 of the NLC to cancel the 1st Transfer, 2nd Transfer and the Registered Lease;

(g) General, aggravated and punitive damages against 3rd Defendant and 4th Defendant; and

(h) Such further and other orders as the Court deems fit.

The case management for the suit has been fixed on 31 October 2014.

公共產託股息慘不忍睹?

讀者劉先生問:
我在2010年開始購買公共產業信托(ARREIT,5127,主板產業投資信托組),皆凡股息分派後,又繼續加碼購買。

2010年直至2013年的業績報告不錯,每季度的股息介於1.7至2.0%,甚至衝破2.0%。

然而好景不長,打從2014年開始,股息分派跌跌不休,18/02/2014為1.736仙;28/05/2014=1.7仙;日前更慘不忍睹,28/08/2014=1.3仙,令人大跌眼鏡。請問到底發生了甚麼事?

答:
公共產業信托在過去4年(從31/12/2010財政年至2013年)每年的派息率都相當平穩,即分別為每股7.32仙、7.22仙、7.45仙、及7.26仙。若是以其平均市價約1令吉為准,每年的周息率介於7.22至7.45%水平。

在2014年首季及第二季,季度每股派息率為1.70仙及1.30仙,确實是比以往差了,惟相信還不至於達到慘不忍睹地步。

根據該公司於2014年8月28日宣佈截至2014年6月30日為止次季業績時的資料顯示,該公司次季的淨利跌至737萬8千令吉(每股淨利為1.29仙),前期淨利為1千101萬4千令吉(每股淨利為1.92仙)。

這主要是總租金收入下跌至1千559萬4千令吉,比較前期為1千671萬7千令吉。

該公司表示,上述最新季度業績較差,主要是公司旗下Semantan路的阿瑪納拉也大廈,從今年1月27日起已經空置,還沒有找到租戶所致。同時次季估值開支也增加至68萬5千793令吉(比較前期為12萬3千548令吉),以及償還地稅也增加至4萬2千326令吉(前期為2萬零920令吉)等,開支皆有增無減。

談到該公司業務前景時,該公司管理層將繼續确保現有資產組合獲得良好的保養,以确保穩定的租金收入,及從資本增值中取得信托利益。

除此之外,該公司也會積極地确認及收購良好的資產,以持續改善回酬,及進一步多元投資組合及降低領域風險。該公司的策略為擁有良好信譽租戶長期租用其資產,繼續專注确保可持續的回酬。

arreit (5127, REITs) 公佈了2014年quarter 3的report:

revenue下滑7.4%至RM16mil

profit反而上升71%  這profit的上升不用看report都應該知道是因為 change in fair value of property吧。

dividend 1.7cent per unit,相比起去年同期下滑了0.11cent/ 6%

(吉隆坡25日訊)由於進行資產重估取得盈利溢價利好支撐,使公共產業信托(ARREIT,5127,主板產業投資信托)截至2014年9月30日為止,第三季淨利猛漲71.04%至1千872萬6千令吉。

首9個月的淨利為3千405萬1千令吉,微增2.11%。

第三季營業額為1千555萬9千令吉,微減7.42%。首9個月營業額為4千712萬6千令吉,微跌6.25%。

派息1.70仙

該公司建議派發每股1.70仙的股息。

對於high 5的court case, arreit (5127, REITs) 於28nov2014發文告,表示以下幾點:

1)arreit不承認所有指控
2)原告現在所進行的法律行動是由於被告向原告索討欠款所致
3)被告不承認曾對原告作出不正當的行為

並且被告(arreit)向第二原告(high 5)反索賠以下幾點:

1)要求原告繳付每月Rm608k,從16Aug2014開始所拖欠的租金,直到歸還該產業為止,
2)要求原告繳付每月Rm608k,從16Aug2014開始的double rental (我不明白這個term,有請law friend代為解釋)
3)要求原告繳交5%的利息於拖欠租金/double rental
4)在沒trustee的同意下,任何人/單位不得佔用該產業,否則被視為不正當行為
5)必須在7天內空置該產業
6)必須在7天內把現存於產業內的物品清出
7)准許trustee派遣保安人員看管該產業
8)准許trustee進入該產業,並有權力將其鎖上
9) 索賠律師費用
10) 索賠產業損壞
11)其他任何相關費用

arreit(5127,REITs)的trustee,cimb islamic trustee berhad於9DEC2009簽署SNP(sales and purchase agreement)出售kontena national distribution centre 11, 買主是noble perspective sdn bhd,而售價是RM34mil。

arreit於DEC2007買入kontena national distribution centre 11, 而當年的買價是RM28.5mil, kontena national distribution centre 11的detail 如下:
  •     位於klang selangor
  •     leasehold property
  •     100% occupancy rate, tenant是kontena national berhad,租約至2019年,租金RM2.25mil yearly
  •     net book value RM34.3mil

雖然kontena national distribution centre 11的net book value為RM34.3mil(根據2013annual report)但是11月由CH William talhar& Wong Sdn Bhd進行的最新估價為RM33mil,價格稍微下滑。

可笑的是arreit管理層竟然以RM34mil出售該產業,而公司預計出售該產業的net gain(撇除所有的expenses)後為RM1mil!不要玩啦,若以RM1mil除以所有的unit,earning per unit只是0.17cent? 不好意思,kotena national distribution centre 11現有一年的租金為 RM2mil,並且租約穩穩直到2019年。

原諒我的無知,我真的不明白為何arreit出售該產業,除非有黑箱作業,不然管理層真的是連幼稚園生都不如,難道他們不明白 1mil<2mil嗎?

提醒大家,arreit滑落至RM0.825,再創52weeks新低。

(吉隆坡9日讯)公共产业信托(ARREIT,5127,主板产业信托股)以3400万令吉,脱售国民货柜(Kontena Nasional)位于巴生的集疏运中心11。

文告指出,公共产业信托管理公司与Noble Perspective公司签约,将集疏运中心11所处的两块地皮脱售予后者。

根据独立估价师,这两块地皮和产业的市值达3300万令吉。

arreit 4Q2014 quarter report

Revenue从RM13.99mil,下滑至RM13.95mil,微微的0.28% profit则狂升9倍,从RM9mil的亏损,上升至RM73.1mil的盈利。Arreit宣布派息1.8sen per unit,ex date – 2mar2015,payment date – 26mar2015,比2013同季度多出RM0.06sen per unit的派息。

Uncle Jim从报告得知,这次arreit的profit狂升,主要又是change in fair value of investment property的缘故,arreit从中获得RM64.7mil的unrealised income,相比起2013年同季度,arreit录得RM18mil的亏损,所以此消彼长下,获得900%的增长,可惜这些都只是unrealised income。arreit这季度的realised income为RM8.4mil,而2013年同季度则为RM8.9mil,实际上arreit的收益减少了5.6% 公司表示,收益减少是由于silver bird factory拖欠租金以及wisma amanahraya berhad空置造成(wisma amanahraya已经成功出租于help college,可是现在租客享有免租优待,这产业将从2Jan2015提供收益)

从这季的报告来看,arreit需要等待直到high 5的法律诉讼案件落幕后才有可能逆转歹势,顺便update各位,arreit与high 5的法律诉讼案件很可能会延至2015年才会落幕,而wisma amanahraya berhad则需要等到第二季度才能贡献收益,arreit的股东真的要加吧劲,撑住啊!
