耐斯福特偕上海绿地 竞标依区大型工程

(上海13日讯)耐斯福特(KNUSFOR,5035,主板贸服股)与上海绿地集团,联营竞标依斯干达区的大型建筑和基建工程。

为此,耐斯福特旗下的Kota Express和绿地集团的绿地大马城市发展有限公司,成立特别用途公司(SPV),并以45:55的股权比例联营。

耐斯福特总执行长李翰庆和绿地集团主席兼总裁谈德勤,在柔佛苏丹依布拉欣殿下的见证下,签署暂定协议(HOA)。

该特别用途公司料参与竞标大马和该区域的数大型产业发展项目,以及公共和私人领域的大型建筑和基建工程。

绿地集团借此参与大马捷运和隆新高铁工程。

目前,绿地集团在新山金海湾(DangaBay)和海滨城(TebrauBay),皆有大型产业发展项目。【南洋网财经】

耐斯福特回應資產收購質詢

(吉隆坡30日訊)耐斯福特(KNUSFOR,5035,主要板貿服)針對馬證交所質詢,回應有關收購柔佛新山Tropez Residences的11個零售單位事宜。

該公司指出,有關土地持永久地契,其中買賣協議的訂金已在4月29日支付,余額會在3個月內,即7月29日之前支付。

耐斯福特一共買進11個單位,有9個單位將作為企業辦公室,另2個單位供租賃用途,每月預計可得7000令吉租金收入。

耐斯福特是在周四(29日)與TROPICANA DANGA BAY私人有限公司簽署買賣協議,以907萬令吉收購上述資產,收購資金將通過內部融資和銀行貸款取得。

耐斯福特今日股價起2仙,掛1.88令吉,有3000股易手。【中国报财经】

Knusford Berhad (“KB” or “the Company”) is pleased to furnish herewith the additional information as required by Bursa Malaysia Securities Berhad (“Bursa Securities”) via its letter dated 30 April 2015:-
1. Tenure of the land on which the 11 units of retail lots are erected:
    The tenure of the property is freehold.

2.The date(s) on which the Deposit and Balance Purchase Price amounts were/will be made:
   The Deposits were paid on 29 April 2015 and the Balance Purchase Price will be by 29 July 2015, ie within 3 months from the date of Sale and Purchase Agreement.

3. Number of units to be used as corporate office and for letting out respectively, and expected rental income per month:
    9 units will be used as corporate office and the remaining 2 units will be for rental. The expected rental income is about RM 7,000 per month for the said 2 units.

耐斯福特联营进军建筑业

(吉隆坡25日讯)耐斯福特(KNUSFOR,5035,主板贸服股)子公司Kota Ekspres(简称KESB),与绿地大马城市发展签署联营协议,涉足建筑及相关服务领域。

根据文告,双方将联营成立绿地耐斯福特建筑私人有限公司,携手谈判及签订国内外的建筑合约。

其中,KESB将持股45%,而其余的55%,则由绿地大马城市所持有。

绿地大马城市是上海绿地集团的子公司,后者业务相当多元化,涵盖能源、金融、房产和房产发展。

通过联营,双方放眼结合各自的优势,而这也符合耐斯福特要拓展建筑业务的计划。

“这联营预计可贡献未来净利和增长,同时,也为我们提供一个建筑及相关服务的平台,为新客户服务。而这也是我们目前没有能力接触的领域。”

耐斯福特表示,投资在联营企业的金额,将由内部融资所得。

至于进一步的投资,则料通过内部融资或银行借贷来完成。【南洋网财经】

ACQUISITION AND SUBSCRIPTION OF SHARES IN GREENLAND KNUSFORD CONSTRUCTION SDN BHD
INTRODUCTION
We refer to our announcements on 25 June 2015 and 29 June 2015 in relation to the Joint Venture Agreement entered between Kota Ekspres Sdn Bhd (“KESB”) and Greenland Malaysia Urban Development Sdn Bhd  (“Greenland”).

TRANSACTION
The Board of Directors of Knusford Berhad is pleased to announce that KESB had on 25 August 2015 acquired and subscribed for 337,500 ordinary shares of RM1.00 each at par value representing 45% of the issued and paid-up share capital of Greenland Knusford Construction  Sdn Bhd as stated in the announcement. The remaining 412,500 ordinary shares have been subscribed by Greenland.

INFORMATION ON GREENLAND KNUSFORD CONSTRUCTION SDN BHD
Greenland Knusford Construction Sdn Bhd (“JV Co”) was incorporated on 13 July 2015 for the purpose of the joint venture.  The JV Co has an authorised share capital of RM750,000.00 comprising of 750,000 ordinary shares of  RM1.00 each of which 750,000 shares have been issued and paid-up after the subscription by KESB and Greenland. The principal activity of the JV Co is civil engineering and building works.

FINANCIAL EFFECTS
The transaction does not have any effect on the share capital and/or substantial shareholders’ shareholdings and are not expected to have any material effect on the earnings per share, net assets per share and gearing of the Knusford Berhad Group. However, the transaction is expected to contribute positively to the Group’s earnings in the future.

DIRECTORS’ AND/OR MAJOR SHAREHOLDERS’ INTERESTS
Save for Mr. Lim Chen Herng and Mr. Lee Hun Kheng, who are directors in the JV Co, none of other directors and/or major shareholders of the Company and/or person connected with them have any interest, direct or indirect in the transaction.

APPROVAL REQUIRED
The transaction does not require the approval of shareholders of the Company and/or other relevant authorities.
