On behalf of the Board of Directors of DTB, UOB Kay Hian Securities (M) Sdn Bhd is pleased to announce the following:- (i)  D'nonce Properties Sdn Bhd (formerly known as D’nonce Health Science Sdn Bhd), a wholly-owned subsidiary of DTB, had on 25 July 2018 entered into a development rights agreement with Tan Than Kau and Tan Tiang Yang (collectively, the "Vendors") to accept the rights granted by the Vendors for the development of one plot of land, namely a parcel of freehold land measuring 6,774 square metres held under title identified as Lot No. 10320, GM No. 1496 (formerly PT 471, HSM 1598), Mukim 10, Seberang Perai Tengah, Pulau Pinang for a total consideration of RM10,000,000 to be fully satisfied via cash ("Proposed Acceptance of Development Rights"); and (ii)  DTB and its subsidiaries ("DTB Group" or "Group") proposes to diversify the principal activities of the Group to include property development and construction businesses ("Proposed Diversification"). Description	Acquisition of Property by Subsidiary Company
We refer to our announcement dated 23 August 2018 (“the Announcement”) in respect of the Acquisition of Property by Subsidiary Company. Unless otherwise stated, defined terms used in this announcement shall carry the same meaning as defined in the Announcement. In this respect, on behalf of the Board of Directors of the Company, we are pleased to provide the following additional information:- 1.  DKEL and Richmond Technology Sdn Bhd are 55% owned subsidiaries of the Company. 2.  Description of factory building erected on the Property The factory building consists of a 2 storey plastered brick walls main office block joined to the factory. The factory is constructed of steel portal frame supporting pitched roof covered with metal roofing sheets. The elevations of the factory comprise low plastered brick walls and plastered brick walls incorporating metal sheet claddings. The factory floor is cement rendered. 3.  Further justification on the purchase consideration of RM4.3 million. Basis for the land and building on the indicative value of RM20 per sq ft and RM50 per sq ft for the land area and built-up area respectively. The land area is 157,691 sq ft and the built up area is 40,000 sq ft. Using the current market rate, the estimated market value of the Property: Land area 157,691 sq ft x RM20 RM3,153,820 built up area 40,000 sq ft. x RM50 RM2,000,000 RM5,153,820 The vendor has after negotiations agreed to sell the Property at RM4.3 million which is a discount to our estimated market value. 4.  The amount of bank borrowing to finance the Acquisition is RM3,440,000.
