Reference is made to the article titled,"D'nonce Technology's EGM embroils in controversy, ended in a deadlock today", which appeared in New Straits Times on 12 June 2019 ("Article"), which states, amongst others, the following:- "Blackstream director Lim Siang Kai said Tengku Ahmad's motion of adjournment was illegal as it was done by poll instead of by a show of hands as per Paragraph 8.29A of Bursa Malaysia Securities Bhd’s Listing Requirements. The chairman (Ahmad) had also decided to exclude shareholders' proxy from voting as they were only allowed to vote on matters set in the EGM’s notice," Lim said when met at Evergreen Laurel Hotel here after the EGM." The Board of Directors of the Company wishes to state that as for the adjournment of the EGM, that was upon the motion of a member which motion was duly seconded by another member. The Chairman was in the circumstances obliged under the Articles of Association of the Company to obtain the views of the members present on the adjournment and it was as a result that a poll was directed to be taken on the motion to adjourn. The poll was the proper and only mode to determine the wishes of the members present on the adjournment of the meeting having regard to the provisions of the Listing Requirements of Bursa Malaysia Securities Berhad as well as the Companies Act 2016.  The decision of the Chairman was arrived at also after consulting with, among others, the Secretaries of the Company. The Proxy Forms submitted for the EGM were in relation to the specific resolutions mentioned therein. There was no mention in the Proxy Forms as to the authority of the Proxies to vote on matters beyond the resolutions mentioned therein. Hence the voting on the adjournment took place amongst the members present. This announcement is dated 13 June 2019.
