Reference is made to the following announcements : Announcement of the Company made on 17 May 2019, titled “Joint Venture Agreement between D’nonce Properties Sdn. Bhd., a wholly-owned subsidiary of D’nonce Technology Bhd and Fajar Simfoni Sdn. Bhd., a wholly owned subsidiary of OCR Group Berhad” Announcement of OCR Group Berhad (“OCR”) made on 10 March 2020 titled “Termination of Joint Venture Agreement between D’nonce Properties Sdn. Bhd., a wholly-owned subsidiary of D’nonce Technology Bhd, and Fajar Simfoni Sdn. Bhd. a wholly owned subsidiary of OCR Group Berhad.” The Board of Directors of D’nonce Technology Bhd (“DTB” or “the Company”) wishes to inform that D’nonce Properties Sdn. Bhd. (“DPSB”) had through a firm of solicitors acting on its behalf replied to Fajar Simfoni Sdn. Bhd (“FSSB”) that the termination of the Joint Venture Agreement dated 17 May 2019 (“JVA”) entered between DPSB and FSSB had been done wrongfully. As such, DPSB shall, expressly reserve its rights and remedies against FSSB in this matter. The Company is of the opinion that the termination will not have any material financial and operational impact on the earnings or net assets of the Company for the financial period ending 30 April 2020.
