大马银行前CEO加入万讯达董事部

（吉隆坡12日讯）大马银行（Ambank Bhd）前总执行长Datuk James Lim Cheng Poh，已加入万讯达（Mexter Technology Bhd）董事部。

在2004年加入大马银行之前，James由1990年9月1日至2003年10月16日出任丰隆银行的高级集团董事经理。为丰隆银行和丰隆集团服务21年后，他于2003年10月退休。

万讯达今日向大马交易所报备，67岁的James已被委任为独立非执行董事，同时也执掌集团审计委员会。

该公司还委任Sui Diong Hoe为执行董事，即日生效。

年届60的Sui是塑料制造商乐高机构（Ralco Corp Bhd）前董事经理，于2011年7月9日辞职。目前是木材公司森立木业（Timberwell Bhd）的董事部成员。

他也被认为是万讯达最大股东Lim Yin Chow的伙伴。后者在5月27日通过私人投资公司LYC Capital私人有限公司，收购万讯达的5585万股或28.4%股权。

根据LYC向大马公司委员会的申报，提供管理、企业及其他相关服务的执业会计师Sui，被列为LYC的公司秘书。

在连续3个季度蒙受亏损后，万讯达在截至3月杪的季度净赚6万令吉，营业额为1120万令吉，归功于流动服务业务销售因市场需求殷切而提高。

内部集资．万讯达涉足医疗科技

（吉隆坡5日讯）万讯达（MEXTER,0075,创业板科技组）迈入医疗保健科技领域，以利用新的业务模式进入垂直市场。

万讯达首席执行员谢德法指出，万讯达家庭护理（Mexter Home Care）与其他竞争者推出的服务不同之处在于能够通过用户的饮食习惯，收集数据再加以分析用户的健康状况，继而给予相关的建议。

不排除推出可供穿戴设施

他说，不排除未来除了通过手机应用程序（apps）使用外，还推出可供穿戴的设施。

惟谢德法不愿进一步透露万讯达投入的资金，仅表示资金将通过内部筹集。

谢德法指出，盈利分配将依据项目进行，目前尚在洽商中，并希望能够尽快看到盈利贡献。

谢德法是在与Chief解决方案公司和UMCH科技公司签署合作协议后如是表示。

UMCH科技公司主席安旺布尔巴教授补充，马大拥有本身的医疗设备，因此，与市面上仅能提供监控的服务不同，他们还可以给予专业医生的意见给用户。

安旺布尔巴说，这是马大迈入物联网（IoT）领域的新里程碑。

安旺布尔说，希望能够通过此服务，改变民众的饮食习惯。他不排除在未来，会与其他来自不同领域的业者合作。

子公司签合作协议

万讯达也通过文告指出，万讯达独资子公司万讯私人达有限公司与Chief解决方案公司及UMCH科技公司签署一份为期5年的合作协议。

通过该协议，万讯达负责商业化万讯达家庭护理（Mexter Home Care），这系统是由UMCH科技公司与Chief解决方案公司负责设计及建设，通过该系统连接，可以追踪用户的健康状况。

根据协议，UMCH科技公司负责提供手机应用程序及健身保健资讯给用户，Chief解决方案公司则是提供智能穿戴及测量设备，万讯达则是向企业、产业发展商及客户营销万讯达家庭护理。

UMCH is a private limited company incorporated in Malaysia with an issued and paid up share capital of RM50,000. UMCH is the provider of connected fitness and health system using new Intelligent wearable and platforms, CHIEF Solution. CHIEF is the brand and trademark owned by UMCH which is an acronym representing 'Connected Healthcare Integrated Fitness’. b. 配售20%新股　万讯达多元化至医保

（吉隆坡23日讯）万讯达（MEXTER，0075，创业板）多元化业务至医疗保健服务，同时建议私下配售高达20%新股，扩展新业务。惟需在股东特大寻求批准。

该公司发文告指出，隨著大股东出现变动，万讯达有意进军医疗保健服务，初始计划进军母亲与婴孩医疗保健，设立產后护理中心，可容纳约33个床位。

不过，该公司这笔投资不涉及收购，而是租赁已確定的护理中心。

此举旨在多元化盈利基础，从而减少依赖信息技术解决方案和服务的核心业务。

该公司预计医疗保健业务潜在贡献净利或净资產超过25%，未来料成为主要业务之一。

与此同时，万讯达建议私下配售5724万9200股，相等於扩大后股本不超过20%的新股，予第三方投资者。假设新股最终定价为每股25仙，预料可最多筹集1431万2000令吉。

文告也指出，上述款项將用作翻新医疗保健中心的成本、充当营运资本和未来扩张计划以及支付私下配售的花费。
