（联合早报网讯）飞龙集团（Fragrance Group）和利华控股（Aspial Corp）献议以最多3亿1380万元，联手收购主板上市公司LCD环球投资（LCD Global Investments）。

买方献议以每股0.33元的现金价格收购LCD环球投资的股票，条件是后者在本月14日下午6时前取消或延迟上月宣布的附加股计划。如果LCD环球投资不这么做，买家的献议收购价为0.30元。

飞龙集团和利华控股的控股股东和家族成员共持有29.3％的LCD环球投资股权。

LCD环球投资（LCD Global Investments）控股股东的林氏家族去年4月提出献议全面收购该公司，收购价每股0.17元，这个价格比公司截至去年3月底的每股净资产值低了37.5％。

去年9月，林氏家族及他们所掌控的公司，以每股0.30元共脱售LCD环球投资的29.5％股权给JTrust亚洲，林氏家族所持股权减少到2.25％，不再是控股股东。JTrust亚洲12月宣布将发行附加股。

飞龙集团和利华控股认为，鉴于以上情况，双方这次提出的收购为股东提供了一个套现的机会，可防止股权被稀释。

买方计划让LCD环球投资继续现有业务，也有意让公司保留上市地位。

LCD环球投资成立于1973年。这些年来，该公司及其子公司的业务逐渐转变，从当初房地产发展和房地产管理到如今专注于接待业和投资控股。

集团在亚洲和英国营业，业务组合包括高档酒店和度假屋、服务公寓和房地产咨询。

三家公司今早暂停交易，LCD环球投资前个交易日的闭市价为0.30元。

WORKS have started on the much-touted Aspial seven towers project, after Queensland Premier Campbell Newman formally announced it in Cairns this morning.

The project, dubbed “NOVA8”, will feature seven commercial and residential towers to built along Spence St opposite Cairns Central shopping centre.

Construction workers equipped with excavators, graders, front-end loaders and trucks were already clearing away rubble ahead of the premier’s announcement late this morning.

Mr Newman announced the start of the first $120 million stage of project this morning.

The premier is in Cairns to make a range of announcements as part of the state election campaign with the construction start today to be the highlight.

Singaporean developer Aspial Corporation has decided to bring forward the tower project by several months after committing to a July 1 start.

Company chief executive Koh Wee Seng told The Cairns Post last month the company would apply for an infrastructure discount from the Cairns Regional Council with the intention of starting construction by July 1.

He said the council’s move to open a new round of discount incentives had given the company confidence to make the proposal a reality.

Aspial is planning two residential high-rises as the first stage of a $400m development that totals seven towers, including a commercial building, in Spence St opposite Cairns Central shopping centre.

While the corporation is aiming for a July 1 start, it was hoping to bring forward work, depending upon the wet season, council and other approvals. The first stage could be completed in 2017.

Mr Koh earlier said he was pleased the council had announced the program to waive fees associated with development headworks.

“We welcome this initiative by a proactive council that appears committed to encouraging investment opportunities in Cairns,” he said.

“We intend to apply for this program and we will commit to bringing forward construction on towers 1 and 2 to meet the time frame requirements for the program.

“As a company that sees the potential in Cairns, Aspial is looking forward to a long-term involvement with the city and we hope other investors will recognise this excellent opportunity.”

It is estimated the discount to Aspial will be about $1m.

ONE thousand jobs are up for grabs in the first stage of the $400 million Aspial residential and commercial tower project when construction starts in Cairns next week.

Contractors at the Nova 8 development on Spence St yesterday started clearing the 2.4ha site.

Construction of a sales suite and the first 17-storey tower fronting Spence St next to the GHD building is due to begin on Tuesday next week.

The first tower will include 208 apartments, 12 townhouses on the first level and ground floor retail stores.

World Class Land sales director Zak Thaker – pictured above with Premier Campbell Newman at the site yesterday – said it was Aspial’s first commencement of a venture in Australia.

“This is a very special day for the company,” he said.

“It’s very exciting stuff.”

Mr Thaker said the company would be using local contractors and local people.

“All the people assisting in the planning have been all local businesses. It will create a lot of jobs,” he said.

Mr Thaker said the intention was to make Nova 8 an “iconic place in the city” and that Aspial had “confidence in Cairns”.

The Nova 8 project includes:

• Seven towers (six residential, one commercial) between 17 and 19 storeys each.

• Construction of a new street linking Spence St to Hartley St.

• 1188 apartments, 6000sq m retail space and 11,000sq m office space.

• High level of public open space and art areas.

• Sky pool and celebrity chef restaurants.

• Retail outlets to cater for up to 6000 customers a day, including more than 1000 office workers, 300 retail staff and hundreds of other workers.

Announcing the development yesterday, Mr Newman said it was the first project of such magnitude in Cairns for eight to 10 years.

He said it would “rejuvenate the CBD” and be “a great catalyst”.

“What we’ve seen is a $400 million commitment by the (Singaporean) Aspial group to Far North Queensland,” he said.

Mr Newman said Aspial chief executive Koh Wee Seng had told him that SilkAir flying direct to Cairns from Singapore later this year had been “an important factor”.

An Aspial report said meetings involving Cairns MP Gavin King, Mr Newman, Treasurer Tim Nicholls and Cairns Mayor Bob Manning were “factors (that) have played a part in the decision by World Class Land to bring forward the commencement date.

“The objective of this world class integrated masterplan project is to create a development that offers all the lifestyle amenities to occupants that they could ever need, including lap pools, gym facilities, running tracks, children’s playground, pool, barbecue and vegetable garden areas, movie theatres, function venues, a variety of dining options and shopping,” the report said.

“World Class Land has demonstrated they have a strong commitment to working with local contractors and suppliers.

“Currently featuring in the 35-strong consultancy team are local businesses including Kelly Development Services, CA Architects, Planning Plus, Flanagan Consulting Group, GHD, H20 Consulting and Golder Associates to name a few.

“World Class Land has fast tracked the development due to their strong belief in Cairns as a major worldwide destination and due to the support it has received from local and state governments.”
