Box 1027, Palau PW 96940 (“Kaleb Udui Jr. or the “Lessor”) to lease from Lessor all those premises located in Ngetkib Hamlet of Airai State, Palau, more particularly described as Cadastral Lot No. 037N06 measuring approximately 16,225 square metres for a total consideration of U.S. Dollars One Million Two Hundred Thousand (USD1,200,000) equivalent to RM4,824,000.

万发成建议私配筹2315万

(吉隆坡29日讯)万发成(BHS,7241,主板贸服股)建议私下配售高达6174万3550新股,相等于占缴足资本10%比重。

假设每股配售价为37.5仙,估计可筹得高达2315万4000令吉,并将用于偿还银行贷款、购买机器或设备,及用作营运资本等。

万发成表示,进行私下配售让公司能够在无需面对利息成本下集资,同时,也能够扩大公司的股东基金。

在完成配售活动后,公司扩大后股票数额最高达6亿7917万9000股,最低达4亿3143万7000股。【e南洋】

The Board of Directors of BHS Industries Berhad (“BHS” or the “Company”) is pleased to announce that the Pejabat Setiausaha Kerajaan Pahang (Pahang State Government) had via its letter dated 13 October 2016 received on 21 October 2016, granted the Company’s wholly-owned subsidiary, Ultimate Ivory Sdn. Bhd. (“Ultimate Ivory”) the land approval for 375 acres of land in Kg. Paloh Hinai, Mukim Lepar, Daerak Pekan, Pahang Darul Makmur (“Land”) which would be for development of the entire project of Pekan Green Technology Park (“Project”).

The purchase consideration for the Land’s approval including the 26 acres of land approved for the development of the 1st phase of Pekan Green Technology Park as announced by the Company on 11 March 2016 is Ringgit Malaysia Nine Million and Two Hundred and Fifty Thousand (RM9,250,000.00) only, excluding Goods and Services Tax (“Purchase Consideration”) (“Acquisition”).

(吉隆坡26日讯)万发成(BHS Industries Bhd)正与潜在投资者协商,拟打造一家产能为5000吨的面纸厂,作为彭亨Kg Paloh Hinai的北根绿色科技园首期工程的部分计划。

万发成今日向大马交易所发文告报备,这项计划仍未成型。

“(我们)目前正与潜在投资者洽商,一旦(我们)有任何进展,(我们)将向马交所发文告报备。”

彭亨州政府在今年3月10日批准及颁布一幅位于北根Kg Paloh Hinai、面积26英亩的地皮予独资子公司Ultimate Ivory私人有限公司,供北根绿色科技园的首期发展工程之用。

万发成在北根一幅总面积375英亩的地段发展为绿色科技园,其中座落于该科技园的主要工业将使用绿色科技,把空果串转换为纸浆和纸张、纸盒衬里纸、瓦楞纸(corrugated paper)和面纸。

他们将使用生物科技,把这些材料转换为农业饲料,以及将其他棕榈废物转化成有机肥料。

“为了进一步发展绿色科技及生物科技知识,万发成将与本地及海外大学合作,为这两个科学部门的研究与开发工作设立一个教育中心。”

北根绿色科技园的发展将分为5个阶段。

“本集团将分阶段发展这块地皮,因此,才能有效管理及控制财财政诺。至于第一期工程,总建筑成本预计为1400万令吉。到目前为止,集团已耗资约420万令吉予基础设施工程,作为建设成本的一部分。”

万发成表示:“第一期工程已展开,我们透过子公司Nextgreen Pulp & Paper私人有限公司在科技园兴建一家纸浆和造纸厂,每年产能为1万吨。”

万发成在2015年10月19日发行附加股,为兴建纸浆及造纸厂项目筹获4160万令吉。

“我们预估,这家造纸厂最迟会在2017年上半年投产。”

与此同时,万发成表示,该发展项目的第二期工程或涉及可生产10万吨的纸盒内衬纸,以及12万吨的瓦楞纸的厂房,而第三期工程则为兴建另一家产能6万5000吨面纸的厂房。

第四期工程包括兴建一家制造农业饲料及有机肥料的厂房,第五期工程则用于轻工业。

有鉴于此,万发成表示,计划多元化业务至工业园区发展和管理,包括建筑及产业发展,集团也将在不久的将来寻求股东的批准。

Further to the announcement made by BHS Industries Berhad (“BHS” or “Company”) on 11 March 2016 and 21 October 2016, the Board wishes to clarify as follows:-

1. The Company intends to develop the 375 acres of Land into a Green Technology Park (“GTP”) where the main industries locating in the Park are using the Green Technology to convert the Empty Fruit Bunches into pulp and paper, box liner paper, corrugated paper and tissue paper.Also using the bio-technology to convert frond to agro-feed and other palm waste into organic fertilizer.To further develop the green technology and bio-technology knowhow, BHS will set up an Education Hub for research and development of these two branches of science in collaboration with the local and overseas universities.

The development of the Land will be divided into 5 phases.  Phase 1 has already taken off and BHS through its subsidiary, Nextgreen Pulp and Paper Sdn Bhd is building a Pulp and Paper mill at GTP with an annual production capacity of 10,000 metric ton.  On 19 October 2015, BHS had raised a gross proceeds of RM41.6 million through a rights issue to finance the Pulp and Paper project.  By late 1st half of 2017, we expect the mill to be ready for production. There is also a plan for a tissue paper factory of 5,000 metric ton in the 1st phase which has yet to take off.  BHS is presently talking to potential investors and once it has anything to report, it will make an announcement to Bursa Malaysia Securities Berhad (“Bursa”).

Phase 2 may involve a factory with a capacity to produce 100,000 metric tons of box liner paper and 120,000 metric tons of corrugated paper with Phase 3 another factory with a capacity to produce 65,000 metric tons of tissue paper.  BHS is presently talking to potential investors and once it has succeeded, it will make an announcement to Bursa.

Phase 4 consists of a factory to produce agro-feed and organic fertilizer and Phase 5 the Land has been earmarked for light industries.  To support and service the man-power needs of the GTP, the Company plans to build shop lots and also hostels for workers.  These are still at the preliminary stage of the planning.

In view of the foregoing, BHS has intended to diversify into industrial park development and management including construction and property development and the Company shall seek shareholders’ approval in the near future.

2. Since the Company is developing the Land in phases, it is in a position to manage and control its financial commitment.For Phase 1, the total construction cost expected to be incurred is RM14 million.Thus far, the Company has incurred about RM4.2 million on the infrastructural work as part of the cost of construction.

万发成与华兴建设联手 彭亨建20亿绿色科技园

(吉隆坡2日讯)从事印刷和出版业务的万发成工业有限公司(BHS,7241,贸易服务组),目前正与中国核工业巨擘华兴建设有限公司(HXCC)合作,在彭亨州北干发展总值20亿令吉的绿色科技园(GTP),以及生物质/太阳能发电站。

该集团在文告中表示,它和HXCC在北京签署了一份备忘录协议,用以设立一个特殊用途工具,作为建造和管理该科技园的第2和第3阶段,以及发电站和其他辅助设施。

它在本周二致函马交所说,上述科技园的主要工业活动是使用绿色科技将棕榈果空壳(EFB)用来制造纸浆和纸、牛皮纸,瓦楞纸和纸巾。

Description
Memorandum of Agreement with China Nuclear Industry Huaxing Construction Co., Ltd.
1. Introduction
The Board of Directors of BHS Industries Berhad (“Company”) wishes to announce that the Company has on 1 November 2016 entered into a Memorandum of Agreement (“MOA”) with China Nuclear Industry Huaxing Construction Co., Ltd. (hereinafter referred to the “Parties”) to work together to develop and manage the Phase 2 & 3 of the Green Technology Park, its power generation station and other auxiliary facilities.
Green Technology Park is a park where the main industries locating in there are using the Green Technology to convert the Oil Palm Empty Fruit Bunches into pulp and paper, box liner paper, corrugated paper and tissue paper. Phase 2 may involve a factory with a capacity to produce 100,000 metric tons of box liner paper and 120,000 metric tons of corrugated paper whilst Phase 3 involving another factory with a capacity to produce 65,000 metric tons of tissue paper.   
The MOA aims to set out cooperation intention of the Parties before signing the formal cooperation agreement. Specific rights and obligations of the Parties shall be defined in follow-up Cooperation Agreement or SPV Agreement.

2. Information on China Nuclear Industry Huaxing Construction Co., Ltd.
China Nuclear Industry Huaxing Construction Co., Ltd. (“Huaxing”), founded in China 1958, is a subsidiary of China Nuclear Engineering Group Corporation, a state central management company. Huaxing is a well-known construction company in China as well as a leading enterprise of nuclear power construction domestically in China and overseas.

3. Rationale for the MOA
The Parties shall collaborate and work together to jointly construct and operate the Phase 2 & 3 of the Green Technology Park, Pekan Project. The Parties will jointly invest to establish a SPV company, which shall be operated together.

4. Effects of the MOA
The MOA is not expected to have any material effect on the earnings per share, net assets per share, gearing, share capital and substantial shareholders’ shareholding of the Company for the financial year ending 30 June 2017. It is expected to contribute positively to the future earnings of the Group upon the completion of Phase 2 and 3 of the Green Technology Park.

5. Directors’ and major shareholders’ interest
None of the Directors and/or other major shareholders of the Company and/ or any persons connected to them have any interest, direct or indirect, in the MOA.

6. Statement by Directors
The Board of Directors of the Company, having taken into consideration all aspects of the MOA, is of the opinion that the MOA is in the best interest of the Company and its subsidiaries.

7. Approvals required
The MOA is not subject to approval of the shareholders of the Company and any relevant government authorities.

(“FPSB”) comprising two (2) ordinary shares of RM1.00 each (“Acquisition”) from Noraslime bin Aminudin and Wan Salman bin Wan Sulaiman, for a cash consideration of Ringgit Malaysia Two (RM2.00) only.

FPSB was incorporated on 5 February 2014 and having its registered office at 136, 1st Floor, Jalan Pahang, 53000 Kuala Lumpur. FPSB has yet to commence business and was intended to be engaged  in the business of wholesale of a variety of goods.

LIABILITIES TO BE ASSUMED
Save for existing liabilities of RM35,786.00 in FPSB based on its latest Audited Financial Statements for the financial year ended 30 June 2016, there are no other liabilities, including contingent liabilities and guarantees will be assumed by the Company arising from the Acquisition.

FINANCIAL EFFECTS OF THE ACQUISITION
The Acquisition is not expected to have any financial effects on the Company for the financial year ending 30 June 2017  in terms of earnings per share, net assets per share, and gearing of the Company.
The Acquisition will not have any effect on the issued and paid up share capital and substantial shareholders’ shareholding in the Company.

INTERESTS OF DIRECTORS, MAJOR SHAREHOLDERS AND/OR PERSONS CONNECTED TO THEM
None of the Directors and substantial shareholders of the Company and persons connected to the Directors and substantial shareholders of the Company has any interest, direct or indirect, in the Acquisition.

(吉隆坡20日讯)万发成(BHS Industries Bhd)拟透过多元化业务至建筑和产业领域,并冀望在2017财政年转亏为盈。

万发成董事经理Datuk Lim Thiam Huat在今日集团的常年股东大会后向记者如是指出:“我们希望可以扭转乾坤,惟(这)取决于市场的走向。”

Lim表示,集团目前的主要目标为发展北根绿色科技园(Green Technology Park Pekan,GTP Pekan)。

他说,这个项目目前处于第一期工程,将于2017年中旬开始运作。

万发成预计,这个项目将在6个月后为该集团贡献营业额。

该集团11月1日与中国核工业华兴建设有限公司(China Nuclear Industry Huaxing Construction Co Ltd)签订一项协议备忘录(MoA),联手发展GTP Pekan项目的第二期及第三期工程。

Lim补充道,第四期工程也将与华兴建设联手合作,集团希望在2017年5月前落实这项协议。

至于该集团的造纸业务表现,Lim表示:“我们的造纸业务受到海外订单减少的影响,因油价下跌冲击海外订单数量。”

万发成的海外业务占集团营业额60%,而国内业务占其余的40%。

然而,Lim表示,他看见造纸业出现复苏情况。
