戴良业入主 爱美家变产业公司受看好

随着拿督戴良业可能注入Sunsuria集团资产的消息传出后,爱美家(MAICA,3743,主板工业产品股)近期成为了聚光灯的焦点。

戴良业也是Sunsuria集团的创办人和大股东,在进行全面献购爱美家后,将持股超过51%。

他表示有意把爱美家从原本经营木材生产业务,打造成产业公司,但仍会保留木制产品业务。

分析员看好爱美家转型为产业公司,并认为可推高爱美家2014至2015财年的净利预估。

早前,爱美家以5600万令吉,收购位于武吉日落洞(Bukit Jelutong)的两块土地。这些土地的发展总值(GDV),预计达2亿9660万令吉。

此外,爱美家也宣布以每股50仙,私下配售2800万新股,筹集7920万令吉。

肯纳格投行分析员表示,完成配售后,该公司的财务状况稳健,净资产负债比例为0.15倍,而股东资金则达8530万令吉。

分析员表示:“假设产业项目在2014财年杪和2015财年初开始出售,我们相信,2015财年起就会带来进账。”

分析员预测,2014至2015财年的净利,将达130万令吉(按年增37.7%)至250万令吉(按年增83.2%)。

注入更多Sunsuria资产?

另一方面,分析员说Sunsuria集团有3项主要的地库,即分别位于Setia Alam(28英亩)、柔佛Medini(82英亩)和沙叻丁宜(300英亩)。

其中沙叻丁宜的地库,是用以发展厦门大学分校城镇。

分析员预测,Sunsuria集团旗下的项目(包括进行中的)发展总值高达129亿令吉。

不过,分析员认为,Sunsuria集团“实际”的发展总值为77亿令吉,因为其中一些项目是属于子公司的。

如果所有资产皆注入爱美家,爱美家将必须收购Sunsuria集团地库实际股权。

鉴于爱美家目前的资产规模不大,因此需要通过股票和债务融资,才有能力推行这些收购计划。

发附加股筹资购Sunsuria资产?

分析员表示,假设爱美家发行附加股,以为收购Sunsuria地库而融资,料将出现下列两种情况。
■情况1:土地成本占实际发展总值的5%,即约3亿8740万令吉。公司需要以每1股配3附加股方式,筹集3亿5630万令吉,其余的将由债务融资。
如果是这个情形,净资产负债比例为维持稳健,未来可继续增加地库。

■情况2:假设土地成本占实际发展总值的10%,即7亿7480万令吉,公司需以每1股配4附加股方式,筹集4亿7510万令吉。其余的2亿9970万令吉则以债务融资。

不过,净资产负债比例将会因而冲上分析员认为的舒适水平的顶限,即0.5至0.6倍。



合理价RM1.16-1.52

分析员根据以上的两个情况,推算爱美家除权后的合理价,即介于1.16至1.52令吉。

因此,比起理论除权后每股97仙的市价,爱美家仍有20至57%的上行空间。

不过分析员提醒,投资者需考虑一些风险。

首先,爱美家需要证券监督委员会(SC)的批准,才能把公司转至“产业组”,届时,盈利在记账方式将改为“完工后”而不是“递增中”的模式。

此外,分析员表示,发股收购两种情况,都会令冲击股价表现,因为产业的净利需要时间流入,这将造成盈利被严重稀释的问题。

分析员因此并未给予爱美家任何评级。

在上周五(2月28日)闭市时,爱美家以1.55令吉挂收,跌3仙或1.89%,成交量有251万7200股。

爱美家成立于1968年12月4日,并在1984年3月7日在大马交易所挂牌。

目前,爱美家是一家控股公司,透过旗下子公司从事生产预制木门、木门框、家具零件、橡胶木模铸等,此外,该公司也提供分期付款服务,在本地及美国有业务。

爱美家截止献购 戴良业仅购得0.01%股权

(吉隆坡5日讯)爱美家(MAICA,3743,主板工业产品股)被收购的献议今日截止,献购方仅仅购得0.01%股权。

在包括原有股权后,目前献购方共持有爱美家50.12%。

该公司今日向马交所报备此事,至今日5时截止,献购方购回1万2759股,相当于0.01%股权,最后持股达7936万7344股。

上个月21日,爱美家大股东拿督戴良业宣布出价每股85仙,献购爱美家未持股权,他当时于爱美家持股50.11%。

这项献购计划,早前遭其独立顾问大马投行给予“不公平且不合理”建议,因献购方出价低于爱美家实际价值。

爱美家今日闭市报1.45令吉,起1仙或0.7%,成交量139万7500股。【南洋网财经】

Remarks :
The Board of Directors of Maica (“Board”) wishes to announce that the Company is proposing to change its name from “Malaysia Aica Berhad” to “Sunsuria Berhad” (“Proposed Change of Name”).

As at 20 January 2014, the shareholders of Maica have approved the resolution to diversify the businesses of Maica and its subsidiaries to include property development business and on 22 January 2014, the Company has completed the acquisition of a commercial development project and a parcel of development land in Bukit Jelutong for the same purpose.

As Maica intends to expand its property development business, the Board has on 22 January 2014, appointed Datuk Ter Leong Yap (“Datuk Ter”) as the Executive Director of Maica to spearhead the property development business of Maica. Maica will be able to utilise the property development expertise and experience of Datuk Ter to enhance and maximise the value of Maica’s land development plans. Datuk Ter has over the years garnered knowledge in property development and has incorporated and nurtured Sunsuria group of companies to become a leading property developer in the Klang Valley under the “Sunsuria” brand name with notable projects which include, amongst others, Trivo, Suria Jelutong, Suria Hillpark, Suria Hills, Sunsuria Avenue and Sunsuria Ampang Sports Complex.

Hence, the Proposed Change of Name is to enable the Company to leverage on Sunsuria brand name and to create synergy amongst its brand and property development projects moving forward.

Application for the proposed new name “Sunsuria Berhad” was approved by the Companies Commission of Malaysia (“CCM”) on 6 March 2014.

The Proposed Change of Name is subject to the approval of the shareholders of the Company at the forthcoming Extraordinary General Meeting to be convened at a date to be announced later.

爱美家易名Sunsuria 戴良业出任执行主席

(吉隆坡7日讯)爱美家(MAICA,3743,主板工业产品股)建议改名为“Sunsuria有限公司”;同时宣布大股东拿督戴良业成为公司执行主席。

爱美家向马交所报备,董事部建议改名,主要是以“Sunsuria”为品牌名字,冀望可为旗下品牌与产业发展计划带来动力。

爱美家已经在3月6日,获得马来西亚公司委员会(CCM)批准改名,不过,公司仍需要在股东特别大会上,寻求股东批准。

另外,爱美家宣布现年50岁的戴良业,即日起从执行董事调任为执行主席。原任非执行主席林建虎(译音)也宣布离职。

在2月底,大股东戴良业宣布出价每股85仙,献购尚未持有的爱美家股权,但无意私有化爱美家。

他当时握有爱美家50.11%,不过在献购截止时仅增持至50.12%。

戴良业目前是Sunsuria集团执行主席,他今年1月接受《南洋商报》独家访问时曾经透露,虽成为大股东,但无意让Sunsuria集团借爱美家挂牌。【南洋网财经】

拟购Sunsuria资产 传爱美家发附加股筹资

(吉隆坡15日讯)传爱美家(MAICA,3743,主板工业产品股)将以3股配1发1附加股,并附送1凭单,筹资向Sunsuria集团收购资产,惟爱美家大股东拿督戴良业对此不愿置评。

持有爱美家50.12%股权的戴良业,打算把该公司从木制品生产商,转型为产业发展商。

《南洋商报》针对上述传言向戴良业求证,但他仅简短地回应:“我不愿置评,因为目前尚未有任何确实的计划。”

《The Edge》财经周刊引述知情人士报道,Sunsuria已把两项资产注入爱美家———位于武吉日落洞(Bukit Jelutong)的Trivo产业项目,以及该处一片占地3.551英亩的永久商用地契,预计该项目的发展总值为2亿6000万令吉。

爱美家的现有股本为1亿5836万股,假设附加股是根据其每股50仙票面价值定价,该公司可筹集2亿3750万令吉。

私配定价85仙

根据周五的每股1.53令吉闭市价,该公司的市值达2亿4230万令吉。倘若该公司把附加股定价为每股1.53令吉,将可筹集7亿2700万令吉。

值得注意的是,最近爱美家的私下配售活动定价为每股85仙。

戴良业曾在稍早前披露,Sunsuria可能会把位于沙叻丁宜(Salak Tinggi)的产业项目(发展总值不低于45亿令吉)注入爱美家,以便让后者成为杰出产业发展商。

同时,他也不排除把Sunsuria在依斯干达特区Medini的82英亩综合发展项目,注入爱美家。

除了上述两个项目,Sunsuria在巴生谷与柔佛的策略地点拥有很多地库,可发展逾百亿令吉的项目。

发附加股配售股集资 马爱美家拓地库

二零一四年三月二十八日 晚上十一时三十二分
(吉隆坡28日讯)马爱美家有限公司(MAICA,3743,工业产品组)建议发行附加股和私下配售公司新股,以筹集资金作为扩充其产业发展业务用途。

在致给大马交易所的声明中,马爱美家表示,其附加股发行将涉及高达4亿7510万股股票。这项活动将附带高达1亿5840万张免费可分开凭单。

马爱美家计划以每股现有股票配售3股附加股,同时每认购3股附加股也将获赠1张凭单。

与此同时,私下配售予第三方投资者则包含高达6330万股股票,相等于马爱美家约10%扩大后已发行与缴足资本。

马爱美家透露:“建议中附加股送凭单发行和建议中私下配售,是为了筹措资金,以进一步成长和扩充马爱美家于多元化后的产业发展业务,并为该集团带来更大的盈利贡献。”

新帅领航 爱美家拓展產业业务

(吉隆坡2日讯)爱美家(MAICA,3743,主板工业股)宣布委任何汉生为首席执行员,带领公司迈进產业业务新方向。        

执行董事拿督戴良业在文告透露,公司旗下的產业业务在最新一季的业绩贡献了2300万令吉的净利,按年比较增涨389%。

他也进一步表示,公司在2014財政年的收入有超过一半来自產业发展业务,產业业务的盈利贡献继续扶持公司整体增长。

而何汉生在未成为公司的首席执行员前曾担任双威集团產业发展部的董事,並且在產业界已有30年的经验。

爱美家也在今天公布了2014財政年的末季业绩。

按季而言,该公司净利从12万600令吉上涨了超过17倍至231万6000令吉。

而营业额也飆增390.28%,从469万4000令吉上增至2301万4000令吉。

全年而言,爱美家净利从98万9000令吉增加260.36%至356万4000令吉。

营业额则同样增加105.88%至3808万1000令吉。

不过,该股股价还未受这三项好消息的激励,全天下跌2仙或1.274%至1.55令吉。【东方网财经】

暂不卖製门业务 爱美家加速转型產业发展商

(吉隆坡12日讯)隨著爱美家(MAICA,3743,主板工业股)正加速由一家製门公司转型成为一家中档產业发展商,管理层预计,该公司未来3至5年將取得显著成长,但暂时无意脱售製门业务。       

爱美家今天召开股东特別大会,提出的4项议案是:1)按3配1比例发售4亿7508万4416股附加股,每认购3股附加股將附送1股凭单;2)私下配售6334万4588股新股或约10%新股;3)修改公司章程;4)更换公司名字。上述4项议案悉数获得股东的通过。

爱美家执行主席拿督戴良业出席股东特大后,接受记者採访时表示,该公司接下来將加速转型成为一家中档產业发展商,並预计在未来3至5年內將取得迅速的成长。

谈及爱美家的未来发展时,戴良业提及4个要点:

第一,爱美家虽將积极推动產业发展,但暂时无意卖掉原本的核心业务,即生產工程门及防火门。因为这一项业务目前仍在赚钱,而且该部门亦可为公司的未来新盘安装新门;

第二,爱美家將以中档產业发展商自居,目前的未入账销售是3000万令吉至4000万令吉。今年的產业盈利贡献將来自2个发展项目--Suria Jelutong(店面)和Suria Residensi(服务公寓);

第三,爱美家的產业发展將集中在巴生谷、檳城和柔佛。柔佛地区的发展將以美迪尼(Medini)和努沙再也(Nusajaya)为主,因为这是柔佛政府的投资热点;

第四,爱美家除了將收购新地皮外,不排除Sunsuria集团將把旗下地皮注入爱美家。Sunsuria集团是另一家由戴良业控制的產业公司,目前拥有大约500英亩的地皮。

隨著上述集资活动获得股东的通过,爱美家预计可以集资大约1.85亿令吉至3.56亿令吉。其主要发展项目之一的SuriaJelutong,30家店面预计將在今年尾完工,目前已卖出29家,整个新盘的总发展价值是5270万令吉。至於占地3.55英亩的SuriaResidensi服务公寓,会在今年第2季推出,总发展价值是2.6亿令吉。

下周宣佈易名

爱美家將在下周一(19日)將召开一场新闻发布会,以宣佈爱美家正式易名为Sunsuria有限公司。【东方网财经】

(吉隆坡15日讯)爱美家(MAICA,3743,主板工业产品股)已从本月14日起,改名为“Sunsuria有限公司”。

根据文告,公司向马交所报备,昨日收到马来西亚公司委员会(CCM)发出的易名证书。

与此同时,公司股名也随之更改至“SUNSRIA”,股号则维持不变。

在2月底,大股东拿督戴良业宣布出价每股85仙,献购尚未持有的爱美家股权,但无意私有化爱美家。

他当时握有爱美家50.11%股权,不过在献购截止时仅增持至50.12%。【南洋网财经】

料本周落实协议 新阳光获注百亿计划

(吉隆坡19日讯)继上周获得股东们批准其筹资计划后,前身为马爱美家有限公司(Malaysia Aica)的新阳光有限公司(SUNSURIA,3743,工业产品组)将在本周公布一项由大股东拿督戴良业展开的注资活动,旨在扩充该集团的产业组合,以与其他中型发展商竞争。

消息来源指出,该集团预料将在本周与戴良业的私人工具签署协议,收购3家产业发展个体的全部或大多数股权,以及位于雪兰莪武吉拉惹的一项计划,总发展值达到102亿令吉。

消息说,将注入新阳光的发展计划包括面积300英亩(121.4公顷)的雪邦沙叻丁宜厦门大学城50%(预测发展值45亿令吉)、柔佛依斯干达区Medini发展大部分股权(45亿令吉)、Setia Alam第7大道发展(11亿令吉)、以及武吉拉惹别墅计划(8100万令吉)。

在上述计划中,尤其受到关注的将是厦门大学城计划,为与森那美有限公司(SIME,4197,贸易服务组)之间各持50%的联营。该将兴建轻快铁沙叻丁宜站的城镇地段,位于预料吸引1万名学生和数以千计大学雇员进驻的国内首间中国大学分校毗邻。

戴良业透过个人身份,协助厦门大学在森那美于沙叻丁宜地库上兴建。

消息披露,上述收购的总代价目前尚未决定。虽然如此,新阳光预期将透过综合借贷、内部基金和由一项资本筹集活动获得的新鲜资金融资。

上述为此用途展开的活动,包含一项1配3附加股发行和私下配售。基于每配售股票参阅价75仙,及每附加股发行价65仙,这项活动筹集的资金总额最少为1亿8450万令吉。

透过直接和间接股份,戴良业现控制新阳光的50.12%。他是于今年1月向前大股东丹斯里陈华春收购重大股权,及最终以每股85仙展开收购献议后,获得上述控制权。

新阳光股价期间已经倍增,于上周五以1.62令吉挂收,相等于市值2亿5650万令吉。

鉴于最近股票的活跃交易,新阳光已经塑造成为另一只受欢迎中型产业股,因投资者预测大股东注入资产将带领该集团迈进另一阶段。

在最近的报告中,肯纳格投资银行说,戴良业可以吸引价格注入地段,因目标地库平均只占了总发展值的7%,意味着平均毛利润接近40%。

在注资进入新阳光后,肯纳格投资银行相信,目标地库的成本将维持于总发展值的10%左右,带来约35%至40%的毛利润。

“该集团放眼截至2015年3月31日着手10亿令吉推介,将属于全新注入地库的首次计划推介。基于保守接受率,我们预料2015和16财政年销售达到6亿5000亿万至7亿1000万令吉之间。”

發行附加股 新陽光擬購戴良業資產

(吉隆坡19日訊)新陽光(SUNSURIA,3743,主要板工業)今日與公司執行主席和主要股東拿督戴良業簽署協議,探討和洽談關于收購其所持有的相關資產。

新陽光今日向馬證交所報備,公司與戴良業簽署協議,探討與洽談收購其資產,這些資產包括新陽光Gateway和南新陽光(Sunsuria South),以及Oscar Cheers的81%股權,(其中30%是透過Strata Johan私人有限公司持有),以及一些正在進行的住宅發展計劃。

根據報備文件,公司計劃透過發行4億7508萬附加股,以及1億5836萬免費可認證分拆憑單,每認購3附加股,便可免費獲得一憑單。另外,公司在發行附加股后,會將6334萬股,相等于擴大后繳足資本的10%用以私下配售。

不注100亿资产‧照发附加股 征阳重新部署收购

(吉隆坡18日讯)征阳集团(SUNSRIA,3743,主板工业产品股)宣布放弃早前建议的注入100亿令吉资产计划,但照旧发行附加股。

征阳集团向马交所报备,在与投行顾问及Astramina咨询商谈后,公司董事局决定不延续有关的收购建议事项的协议书,惟附加股计划继续。

文告指出,公司需履行现有屋业发展业务的绩效和未来的收购规模。

征阳集团执行董事兼大股东拿督戴良业在文告中指出,将继续评估个人资产,一旦征阳集团做好准备,即可与该集团进行整合。

评估其他方案

该公司指出,注资计划暂缓可让公司拥有更多时间与弹性空间,评估现有的各项方案,或其他潜在的购地计划。

戴良业于上月宣布,拟与旗下的有关公司签署初步协议,探讨与洽购Sunsuria发展三家子公司的81至100%股权,以及一项住宅发展计划。

这些公司涉及的产业发展项目,潜在发展总值达101亿令吉,占地超过400英亩。

其中包括沙叻丁宜(Salak Tinggi)厦门大学分校城镇以及依斯干达特区Medini发展计划。

这三家公司为Sunsuria发展、Rentak Nusantara与Strata Johan私人有限公司。

续招股筹资 做好收购准备

征阳集团指,将继续进行招股筹资计划,为未来的收购机做好准备。

公司将放眼收购具有潜力的地库、房产投资或房产发展项目,这也符合本身的策略计划,逐步扩展房产发展业务,提升获利。

前称爱美家的征阳集团,于3月28日建议发行附加股及凭单,以及私下配售活动,再加上贷款和内部资金,为注资活动融资。

附加股与凭单发行,以及私下配售活动预计最高可筹得3亿5631万令吉的资金。

盘中挫13仙

注资计划不成行,征阳集团股价应声走滑,盘中一度挫13仙或9%,报1.30令吉。

闭市时,该股收报1.32令吉,跌11仙或7.7%,全日共248万3700股易手。

征阳首季净利涨182%

(吉隆坡12日讯)房地产销售推高盈利,征阳集团(SUNSURIA,3743,主板工业产品股)截至6月30日首季净利按年涨182%,报126万2000令吉,或每股净赚0.8仙。

该公司上财年首季净利报44万7000令吉,每股盈利为0.34仙。

征阳集团首季营业额报1834万9000令吉,相较上财年首季的503万6000令吉,按年增幅达264%。

该公司指出,位于武吉日落洞的Trivo商业房产计划,是主要盈利来源。

征阳集团看好接下来推出的Trivo新项目和Suria Residence计划,将继续为公司贡献盈利。

前身为爱美家的征阳集团,是在上个月初转组至产业组;爱美家原本的业务为实木复合木门和防火门制造。【南洋网财经】

ACQUISITION OF SHARES IN HAVANA SYMPHONY SDN BHD BY THE COMPANY’S WHOLLY-OWNED SUBSIDIARY, CONSOLIDATED LEASING (M) SDN BHD
1.  INTRODUCTION

The Board of Directors of Sunsuria Berhad (Formerly known as Malaysia Aica Berhad) ("SUNSURIA" or "the Company") is pleased to announce that the wholly-owned subsidiary of the Company, namely Consolidated Leasing (M) Sdn Bhd (Company No. 30777-H) had on 13 August 2014 acquired two (2) ordinary shares of RM1.00 each, representing 100% of the total issued and paid-up share capital of Havana Symphony Sdn Bhd (Company No. 1089198-V) (“HSSB”).

2.  INFORMATION OF HSSB

HSSB was incorporated in Malaysia under the Companies Act, 1965 on 15 April 2014. The present authorised share capital of HSSB is RM400,000.00 divided into 400,000 ordinary shares RM1.00 each and the paid-up share capital is RM2.00 divided into 2 ordinary shares of RM1.00 each.Currently, HSSB is a dormant company.

Present shareholders of HSSB are Ms Tan Wang Tiang and Ms Ng Lui Keng @ Ng Joo Keng holding 1 ordinary share of RM1.00 each respectively.

3.   FINANCIAL EFFECTS
The purchase consideration is derived from willing buyer and willing seller basis.

There is no liability including contingent liabilities and guarantees to be assumed by SUNSURIA arising from the acquisition, except as stated above.

The acquisition of shares in HSSB is not expected to have any materials effects on the earnings or net assets of the Company for the financial year ending 31 March 2015.

4.   DIRECTORS’ AND MAJOR SHAREHOLEDRS’ AND/OR PERSONS CONNECTED WITH A DIRECTOR OR MAJOR SHAREHOLDER’S INTEREST

None of the Directors and/or major shareholders or persons connected to them had any interest, direct or indirect, in the aforesaid acquisiton.

5.  STATEMENT BY THE BOARD OF DIRECTORS
The Board of Directors is of the opinion that the acquisition is to undertake future business expansion and is in the best interest of the Company.
