The Jaya Group traces its origins to 1981 when three young friends came together to form a single-vessel owning company. From then, and through the eighties, Jaya grew to own and operate a fleet of tugs and barges, plying regionally.

The Group was listed on the Singapore Stock Exchange in 1992. Thereafter, it forayed into ownership and chartering of conventional and container vessels, before taking a strategic decision to focus on the Offshore Energy domain.

大型岸外能源服务商成功控股(Jaya Holdings)宣布，它签署了合约出租一艘新的DP2平台供应船Jaya Vigilant。后者将长期部署在莫桑比克岸外的印度洋服务。合约为期两年，总值估计超过2,000万美元，并且包含租船人选择权。合约的工作范围包括遥控潜水器支援、相关调查、在水深最高达2公里的水里进行岩心抽样及其他工作。在9月交付上述船只后，公司余下的造船订单为七艘船，其中两艘遥控潜水器支援船(设有大型深海起重机及柴油电子引擎)将由峇淡岛的船厂交付。这两艘专门船只将为公司的客户提供更大的商机。

启示：上述新合约让公司得以进军东非这个新市场，当地在过去几年来发现庞大的水煤气蕴藏点。当地并没有现货市场，在岸支援也有限，因此公司将从当地对岸外支援船只的需求中受惠。

Shares in Jaya Holdings jumped as much as 8% on strong volume after the offshore energy services provider said it had appointed advisers for a review of its strategic options.

More than 1.5 million shares were traded in the first hour of trading, double the average full-day volume traded over the past month. Based on Friday's close of $0.61, Jaya had a market value of $472 million.

"They are still trying to get the vessels in their ship building program out right now and that's going to consume just about all the cash on hand for them over the next 2-3 years," said one analyst, noting that raising debt was one option for the company. Jaya issued a short statement on its review.

In the broader market, the Straits Times index was up 1.3%, led by banks DBS Group , United Overseas Bank and Oversea-Chinese Banking Corp. Asian shares rose after mildly upbeat Chinese trade data underscored signs of stability in the world's second-biggest economy.

Jaya Holdings, the offshore energy services provider, has reported a net profit of US$7.6 million ($9.4 million) for the first quarter ended 30 September 2013 on the back of US$29.6 million in revenue.

The higher revenue was due to higher charter utilisation of 91% compared to 84% in the previous corresponding quarter as well as one-off gain from the sale of a vessel. Excluding the sale, the quarter’s revenue would still be 12% higher than the previous corresponding quarter.

Excluding non-recurring items and gain from the vessel sale, the quarter’s net profit would have been 15% higher than that of the previous corresponding quarter.

In July and September respectively, the group completed two high-specification, 5,500dwt PSVs the Jaya Valour and the Jaya Vigilant on time and within budget. The vessels went on-hire on long term charters immediately upon delivery.

Jaya Vigilant was customised with a 50 ton subsea crane with active heave compensation for service in water depths of up to 3,000 metres. Both sister ships have been upgraded with highly versatile under deck cargo capacity, enhanced passenger facilities and excellent station keeping in mind.

1. Capital Reduction

1.1 The Board of Directors (the “Board”) of the Company refers to the announcements released on 25 February 2014, 26 February 2014, 16 April 2014, 25 April 2014, 14 May 2014, 20 May 2014, 3 June 2014 and 4 June 2014 (the “Announcements”) and the Circular.

1.2 Further to the Announcements and the Circular, the Board wishes to announce that the Company has complied with all the requirements under Section 78C(1) and the solvency requirements under Section 78C(3) of the Companies Act (Chapter 50) of Singapore (the “Companies Act”) with regard to the Proposed Capital Reduction by the Company and that no application for the cancellation of the special resolution relating to the Proposed Capital Reduction has been made under Section 78D of the Companies Act during the 6-week period beginning with the date of the special resolution for the Proposed Capital Reduction.

1.3 Pursuant to Section 78E(2) of the Companies Act, the Company has lodged a statement confirming the above and a notice containing the prescribed information on the Proposed Capital Reduction with the Accounting and Corporate Regulatory Authority of Singapore on 26 June 2014.
