The Incorporation has no effect on the issued share capital and substantial shareholders’ shareholdings of Utusan. The Incorporation has no material effect on the earnings and net assets of Utusan. The Board of Utusan Melayu (Malaysia) Berhad (‘Utusan’ or ‘the Company’) wishes to announce that Utusan is unable to submit its Regularisation Plan as prescribed under Paragraph 8.04(3) and Paragraph 5.1 under Practice Notes 17 (‘PN17’) within twelve (12) months from the date of its admission as PN17 issuers.   After taking into consideration of the losses incurred in the first two quarters of 2019 and cash flow constraints, the Board is of the view that the Group will not be able to meet Bursa’s requirements to uplift the PN17 status. The Group is also not be able to find any potential investor to participate in order to revive the Group, mainly due to its huge liabilities. The above is without prejudice to Bursa Securities’ rights to proceed to suspend the trading of the listed securities of Utusan and to de-list the Company in the event: (i) The Company fails to submit a regularisation plan to the authorities on or before 19 August 2019; (ii) The Company fails to obtain the approval from any of the regulatory authorities necessary for implementation of its regularisation plan; and (iii) The Company fails to implement its regularisation plan within the time frame or extended time frame stipulated by any of the regulatory authorities. Upon occurrence of any events set out in (i) to (iii) above, the Company is aware that Bursa Securities shall take any relevant action including to suspend the trading of the listed securities of Utusan on the 6th market day after the date of notification of suspension by Bursa Securities and de-list the Company, subject to the Company’s right to appeal against the delisting. （吉隆坡20日讯）若马来前锋报（Utusan Melayu (M) Bhd）未能如期向监管当局提交重组计划，该公司将于8月30日从大马交易所主板除牌。

根据文告，这家PN17公司将从8月28日起暂停交易。

尽管如此，如果该公司在8月27日或之前向马交所提出上诉，则可延迟除牌，直至上诉决定出炉。

该股今日跌至7仙，为史上新低价位。根据7仙闭市价，其市值为775万令吉。

马来前锋报出版《Utusan Malaysia》、《Mingguan Malaysia》、《Kosmo》及《Kosmo Ahad》。

该公司昨日表示，未能在8月19日截止日期向监管当局提交重组计划。

该公司指出，“不可能”找到潜在投资者重振业务，因为该公司负债累累。

该公司自6月份起拖欠员工薪酬，并表示无法迅速解决现金流问题，因为市场情绪欠佳且有关当局的限制和要求阻碍了其脱售产业套现。

马来前锋报曾由巫统（UMNO）掌控，之前持股权达49.77%。巫统把30%股权卖给了吉打居林－万拉峇鲁区（Kulim-Bandar Baharu）前国会议员Datuk Abd Aziz Sheikh Fadzir的投资公司Opulence Asia私人有限公司。目前，巫统的持股权为18.16%。

马来前锋报的另一个大股东是丹斯里赛莫达，持股权达19.72%。

马来前锋报连续7个季度蒙亏，截至6月杪2019财政年第二季净亏389万令吉；营业额从6387万令吉，减逾半至2591万令吉。

该公司在今年首半年净亏1209万令吉，营业额按年暴跌56%至5266万令吉，上财年同期报1亿1938万令吉。

Suspension and De-Listing of Utusan Melayu (Malaysia) Berhad

UTUSAN MELAYU (MALAYSIA) BERHAD

Utusan Melayu (Malaysia) Berhad ("UTUSAN") has failed to regularise its condition in accordance with paragraph 8.04(3)(a) of the Bursa Malaysia Securities Berhad ("Bursa Securities") Main Market Listing Requirements ("Main LR") where the company has failed to submit its regularisation plan to the Securities Commission or Bursa Securities for approval within the stipulated timeframe.

In the circumstances and pursuant to paragraph 8.04(5) of the Main LR :-

(a) the trading in the securities of UTUSAN will be suspended with effect from 28 August 2019; and

(b) the securities of UTUSAN will be de-listed on 30 August 2019 unless an appeal against the de-listing is submitted to Bursa Securities on or before 27 August 2019 (“the Appeal Timeframe”). Any appeal submitted after the Appeal Timeframe will not be considered by Bursa Securities.

In the event UTUSAN submits an appeal to Bursa Securities within the Appeal Timeframe, the removal of the securities of the company from the Official List of Bursa Securities on 30 August 2019 shall be deferred pending the decision on the company’s appeal.

With respect to the securities of UTUSAN which are currently deposited with Bursa Malaysia Depository Sdn Bhd (“Bursa Depository”), the securities may remain deposited with Bursa Depository notwithstanding the de-listing of the securities from the Official List of Bursa Securities. It is not mandatory for the securities of a company which has been de-listed to be withdrawn from Bursa Depository.

Alternatively, shareholders of UTUSAN who intend to hold their securities in the form of physical certificates, can withdraw these securities from their Central Depository System (CDS) accounts maintained with Bursa Depository at any time after the securities of the company have been de-listed from the Official List of Bursa Securities. This can be effected by the shareholders submitting an application form for withdrawal in accordance with the procedures prescribed by Bursa Depository. These shareholders can contact any Participating Organisation of Bursa Securities and/or Bursa Securities’ General Line at 03-2034 7000 for further information on the withdrawal procedures.

Upon the de-listing of UTUSAN, the company will continue to exist but as an unlisted entity. UTUSAN is still able to continue its operations and business and proceed with its corporate restructuring and its shareholders can still be rewarded by the company’s performance. However, the shareholders will be holding shares which are no longer quoted and traded on Bursa Securities
