On behalf of the Board of Directors of MGRC (“Board”), AmInvestment Bank Berhad wishes to announce that MGRC and Gribbles Pathology (Malaysia) Sdn. Bhd. (“GPMSB”) had on 11 October 2019, entered into a conditional sale and purchase agreement (“SPA”) to dispose of MGRC’s entire equity interest in MPath Group (as defined herein) (“Sale Shares”) for a total cash consideration of RM42.0 million (“Disposal Consideration”), subject to the terms of the SPA. The Proposed Disposal entails the disposal of the following subsidiaries of MGRC:- (a)    100% equity interest in MPath Sdn Bhd (“MPath”); and (b)    the following wholly-owned subsidiaries of MPath:- (i)      100% equity interest in Clinipath (Malaysia) Sdn Bhd (“CMSB”); (ii)      100% equity interest in Clinipath Capital Sdn Bhd (“CCSB”); and (iii)     100% equity interest in Medical Scan Sdn Bhd (“MSSB”) (Collectively, referred to as the “MPath Group”) The Proposed Disposal is deemed a major disposal pursuant to Rule 10.11A of the ACE Market Listing Requirements of Bursa Malaysia Securities Berhad (“Bursa Securities”) (“Listing Requirements”). Upon completion of the Proposed Disposal, the Board proposes to declare a distribution via a cash dividend of RM0.22 per ordinary share in MGRC (“MGRC Share”) held on an entitlement date to be determined (“Proposed Distribution”).

The Board of Directors of MGRC wishes to announce that the Company had on today disposed of its entire issued share capital of MGRC International Sdn. Bhd., a wholly-owned subsidiary of the Company to Puan Elinor binti Kamalul Azmi and Encik Mohd Zailani bin Mahmood for a total cash consideration of RM2.00. MGRC International Sdn. Bhd., a private limited company which was incorporated in Malaysia on 25 April 2012 is principally involved in providing genome sequencing, bioinformatics analysis services, genetic screening services, providing online access to genomic data and bioinformatics applications. The Company has not commenced operations since its incorporation on 25 April 2012. As at the date of this announcement, the total issued share capital is RM2.00 comprising of 2 ordinary shares. The disposal of MGRC International Sdn. Bhd. will enable MGRC to focus on its core business. Following the disposal, MGRC International Sdn. Bhd. ceased to be a subsidiary of MGRC. The disposal of MGRC International Sdn. Bhd. is not expected to have a material effect on the earnings or net assets per share of MGRC for the financial year ending 30 June 2020.
