永成统一获7078万合约

2016年8月20日
(吉隆坡19日讯)永成统一(WZSATU,7245,主板工业产品股)子公司WZS KenKeong私人有限公司获得总值7077万5568令吉合约,负责一项道路建筑土木工程。

这项合约是由Q Bena与Prisma Simfoni联营公司颁发,WZS KenKeong将负责建造以及完成西海岸大道(太平-万津)的第10区部分土木工程,合约为期30个月。

根据合约,工程需要建筑与完成长达20公里的新道路,范畴包括:土方工程、土工与地质研究工作、桥梁和固定结构工程、公用与服务设施工程,以及环境维护工作。

永成统一预计,此项目将为公司未来3年的盈利和净资产带来正面影响。【e南洋】

Bhd., had on 19 August 2016 accepted a letter of award from Q Bena - Prisma Simfoni JV ("Award") for privatisation of Lebuhraya Pesisiran Pantai Barat (Taiping - Banting) - the Construction and Completion of Part of Civil Works for Section 10, (Section 10 - Changkat Cermin to Beruas Interchange) - Part 10B ("Project").

The total value of the Project is RM70,775,569.09 (Ringgit Malaysia: Seventy Million Seven Hundred and Seventy Five Thousand Five Hundred and Sixty Nine and Sen Nine) only for a duration of 30 months.

The Project is to construct and complete the new alignment of roadworks for approximately 20km which includes the following works:-
- Earthworks;
- Geotechnical and soil investigation works;
- Bridges and retaining structures works;
- Utilities and services works; and
- Health, safety and environmental protection works.

WZ SATU does not foresee any exceptional risk other than the normal operational risk associated with the Project and will take the necessary steps to mitigate the risks as and when it occurs.

None of the Directors and/or Major Shareholders and/or persons connected to them, has any interest, direct or indirect in the Award of the Project.

The Award is expected to contribute positively to the future earnings and net assets per share of the Group for the financial years ending 31 August 2017 to 31 August 2019.

The Board of Directors of WZ Satu is of the opinion that the Award is in the best interest of the Company.

WZ Satu获1.1亿西海岸大道合约

(吉隆坡2日讯)WZ Satu Bhd获颁西海岸大道项目另一项建筑合约,是Changkat Cermin交流道至Beruas交流道土建工程配套的一部分。

由钢铁制造商转向建筑公司的WZ Satu今日向大马交易所报备,独资子公司WZS KenKeong私人有限公司,获得Laksana Amanbina私人有限公司颁发总值1亿1030万令吉的分包合约。

这项工程为期30个月,工作范围是大道主线,包括进口粒装材料、排水工程、铺路工程、交通标志、道路标记,以及道路设备工程。

该集团补充,上述合约预计为截至明年8月31日止2017至2019财政年的盈利和每股净资产作出贡献。

在2015年5月,WZ Satu赢得该大道总值4亿9890万令吉的分包合约,建设从Kampung Lekir交流道至Changkat Cermin交流道,长28公里的路段。

西海岸大道全长230公里,连接雪兰莪万津至霹雳太平。经营公司是优乐家集团(Kumpulan Europlus Bhd)。

WZ Satu终止收购SILK

(吉隆坡23日讯)WZ Satu Bhd已终止以3亿6800万令吉,向SILK Holdings Bhd收购加影外环公路(Kajang Silk Highway)特许经营者Sistem Lingkaran-Lebuhraya Kajang 私人有限公司(SILK)的计划。

这家由钢铁制造商转为建筑公司的WZ Satu今日向大马交易所报备,由于未能就最终协议条款与SILK Holdings达成共识,因而终止这笔交易。

“因此,WZ Satu和SILK Holdings于今日同意,由各自的律师通过书信,不再继续该收购计划。”

WZ Satu表示,终止暂定协议书(HOA)预计不会对截至明年8月31日止2017财政年的盈利造成任何实质影响。

早前,该集团宣布,已与SILK Holdings签署暂定协议书,以3亿6800万令吉收购SILK的100%股权。

6月的文告显示:“拟连同其他有待确定的联合投资者收购SILK,而WZ Satu将成为大股东。”

WZ Satu表示,收购价码将由2亿3925万令吉的现金,以及以每股1.03令吉发行1亿2500万新股所组成。

全长37公里的加影外环公路,衔接无拉港、双溪龙、加影、万宜、沙登和布城。这项特许经营合约长达33年,将于2037年7月届满。

WZ Satu是第三家对收购SILK感兴趣的公司。

IJM Corp Bhd在2014年5月,献议以3亿9800万令吉现金收购SILK,惟此献议却因未能在指定时限内,符合部分先决条件而作罢。

达力集团(Taliworks Corp Bhd)去年9月也表示有意收购SILK。达力集团持有Cerah Sama私人有限公司的55%股权,后者是蕉赖-加影大道(Cheras-Kajang Highway)和新巴生北峡绕道(NNKSB)的特许经营者。

今年5月,达力投资总监陈颂仁表示,公司冀望在未来数月完成这项交易。

他当时说:“我们仍需敲定一些条款,其中包括10月(2015年)调涨大道收费。交通流量收费调涨后下降,这是我们在制定收购价码时考量的其中一项因素。”

然而,达力决定不继续这项收购计划。

On behalf of the Board of Directors of WZ Satu, Hong Leong Investment Bank Berhad wishes to announce that an agreement on the terms of the Definitive Agreement could not be reached with SILK Holdings. Accordingly, WZ Satu and SILK Holdings have on 23 September 2016 mutually agreed, by way of an exchange of letters dated 23 September 2016 (“Letters”) between their respective solicitors, not to proceed with the Proposed Acquisition as they are unable to agree on the final terms for the Definitive Agreement.

The termination of the HOA is not expected to have any material effect on the earnings per share and net assets per share of the Company for the financial year ending 31 August 2017.

A copy of the Letters will be made available for inspection at the registered office of the Company at Level 7, Menara Milenium, Jalan Damanlela, Pusat Bandar Damansara, Damansara Heights, 50490 Kuala Lumpur for a period of 3 months from the date of this announcement.

这家建筑公司向大马交易所报备,双方签署的合作意向书于今日到期,因迄今没有签订最终或有约束力的协议。

WZ Satu去年10月19日与Konsortium PKMM签署合作意向书,在砂拉越泛婆罗洲大道发展与提升工程的资格预审中联手。

WZ Satu末季净利劲扬48%

(吉隆坡20日讯)WZ Satu第四季净利按年劲扬48%,因土木工程与建筑,以及石油与天然气业务的贡献有所增加。

该公司今日公布,截至8月杪的2016财政年末季,净利达793万令吉,或每股2.37仙;营业额从1亿1299万令吉,增9%至1亿2359万令吉,归功于土木工程与建筑业务收入提高。

全年净利扬近11%至2291万令吉,或每股6.95仙,2015财年是2073万令吉,或每股7.12仙;营业额达4亿6592万令吉,较2015财年的3亿5142万令吉,增长33%,皆归因于土木工程与建筑业务。

展望未来,WZ Satu指出,业务展望依然可期,集团将得益于政府在基础建设的支出。

“集团正积极寻求各种机会,并对该业务对下个财年的贡献感到乐观。”

至于油气和制造业务,该集团表示将在管理成本方面保持警惕。

在铝土矿开采方面,其表示受到政府自1月15日,暂停关丹铝土矿开采活动11个月的影响。

“虽然这将继续影响我们联号公司的表现,但认为这是暂时的,并预计矿业部门对集团的贡献将改善并在未来成为经常性。”

“合理化制造业务,且脱售PT WZ Steel和WZS Technologies私人有限公司股权,显著降低需要长期酝酿期方可获利的投资风险。”

该集团表示,这些脱售计划进一步改善集团今年的展望。

【永成统一】- WZSATU(7245)手握高额订单,营业额+盈利突破历史新高!

WZSATU(7245)永成统一上市初期的主要业务是是生产以及销售钢铁相关产品。不过公司在几年前开始进军土木工程,矿业(铝矿土)以及油气领域。公司在1月24日举办了股东大会并公布了最新一个季度的业绩,营业额以及盈利双双突破了历史新高,FY2016更是派发了3仙历史新高的股息。


WZSATU在FY12 - 16的营业额以及盈利连续4年都保持成长,FY17的第一个季度就交出了历史新高的佳绩,相信FY2017要保持成长不是难事。



公司的营业额从FY15Q1的RM59.8 mil进步到现在的RM130.2 mil,最新4个季度的营业额平均RM120 mil以上。而且Net Profit Margin也从底部的4.29%走高到了最近的6.53%,可见新的业务的确带来新的改变以及盈利贡献。

公司主要的营业额以及盈利贡献来自土木工程,过后就是油气领域以及钢铁。此外,公司手握RM126.562 mil的现金,债务 = RM96.778 mil, Net Cash = 29.784 mil。因为现金流充裕,所以公司在FY16派发了3仙的股息,比2015年进步了50%。

公司最大股东是彭亨的皇室家族的YM Tengku Dato’ Sri Uzir bin Tengku Dato’ Ubaidillah,如今持股接近26.25%。大股东Uzir今天接受报导时说到,希望未来3个月的订单可以增加至10亿马币,目前订单水平9亿3180万马币(已开始消耗)。公司每年订单消耗大约是3 - 4亿马币,因此合约可以持续到2019年底。现在公司市值3.73亿,大股东希望未来2 - 3年可以扩大到10亿马币。

整体而言,公司对未来展望是保持正面的,9.3亿的订单以及油气领域稳定贡献盈利。而矿业的贡献相信未来会持续成长并带来更高的盈利。

WZSATU的PE = 13.86有点偏高,但是在高额的订单以及历史新高的盈利支撑下,长期WZSATU是有看头的。

永成壹预测今年订单增至20亿

(吉隆坡24日讯)永成壹股份(WZSATU,7245,主板工业股)冀望,在2017財政年可获得10亿令吉的工程合约订单,將其合约订单数额进一步提升至20亿令吉。

永成壹股份董事经理兼首席执行员东姑拿督斯里乌兹指出,截至去年8月31日,该公司的工程合约订单总值为9亿3180万令吉,他相信,在3个月內,永成壹股份的订单可达到10亿令吉。他说,许多大道和基建的土木工程合约將陆续颁发,该公司在2017年料再获颁10亿令吉的工程合约订单,並將总订单数额提高至20亿令吉。

「淡江大道(DUKE)第2和3阶段和西海岸大道(WCE)第9和10配套工程將陆续颁发,以永成壹股份良好的记录,我们有望从中受惠。」

乌兹表示,目前逾10亿令吉的订单,可让该公司持续忙碌2至3年。

同时,乌兹透露,该公司正竞標总值25亿令吉的工程项目,而歷史得標率介於20%至30%。

禁令重挫採矿业务

另外,展望今年的財政表现,乌兹相信,永成壹股份的营业额料成长25%,主要由土木工程业务带动。

针对关丹的开採铝土矿禁令对该公司的影响,乌兹指出,该公司的採矿业务確受到很大的影响,该业务的净利也从2015財政年的1850万令吉,下跌至上財政年的970万令吉。

虽然目前仍无法开採,但是该公司仍允许继续出口铝土库存。

他也说,该公司的铝土库存不断消耗,因此或將考虑向没有出口准证的採铝商,购买铝土库存,然后转手出口至国外。

「政府此项开採铝土矿禁令,將让我国每年损失20亿令吉的收入,我希望政府能尽快解除此禁令。」

此外,亦是公司大股东的乌兹也表示,儘管他不断增持永成壹股份,但他无意將公司私有化。

针对此前与UEM阳光(UEMS,5148,主板產业股)子公司联营,于檳城峇六拜高速大道兴建一座高架天桥不断遭到展延,乌兹表示,地方政府预期將在今年首季对此项目作出最终决定。

另外,永成壹股份首席財务员陈登兴表示,该公司现阶段拥有1亿2800万令吉的现金,处於舒適水平;但他指出,若公司未来需要併购扩充,他不排除公司会发股集资。

询及此前有意脱售旗下钢铁业务,乌兹坦言,「我们已完成脱售一些业务,因此,脱售行动算是告一段落。」

乌兹也说,该公司將积极提高生產效率和尽量减少进口原料,以降低生產成本。永成壹股份在今年也將拨出约4500万令吉的资本开销。

乌兹相信,在未来3年,永成壹股份的市值或许將达到10亿令吉。

乌兹也指,「虽然我们的派息政策是税后净利的20%至35%,但2016財政年所派发的3仙股息,却占净利逾4成;而2017財政年,我们有望派发更高的股息,以回馈股东。」

首季净利暴增91%

该公司傍晚公佈业绩,其2017財政年首季(截至11月30日止)净利,从去年的444万令吉,暴增91.48%,至850万令吉;营业额则按年成长26.53%,至1亿3017万令吉。【东方网财经】

看好營業額可增25% WZSATU澄清僅屬內部目標

(吉隆坡2日訊)WZSATU(WZSATU,7245,主要板工業)針對一篇報導澄清指出,2017財年訂單規模看好可漲1倍至20億令吉,營業額及淨利也看好增加25%,上述皆只是內部目標。

WZSATU向馬證交所報備指出,管理層所做的內部目標是根據已受認可的營業額及盈利來制定,而營業額及盈利是來自旗下目前光面鋼生產及鋼鐵貿易業務已報備的訂單規模8億5200萬令吉來制定。【中国报财经】

购Cekap Semenanjung

(吉隆坡10日讯)永成统一(WZSATU,7245,主板工业产品股)建议以总值3000万令吉,认购丹斯里邝汉光旗下Cekap Semenanjung私人有限公司全数股权。

永成统一昨日向马交所报备,与邝汉光和儿子邝耀丰,达成额外股权买卖协议,以3000万令吉收购Cekap Semenanjung 50万股或等于全数普通股股权。

Cekap Semenanjung成立于2009年2月3日,主要从事投资控股。同时,也拥有主要业务为建筑的Sinergi Dayang私人有限公司。

Sinergi Dayang也是彭亨关丹一个马来西亚房屋计划(PR1MA)承包商。

根据协议,除了认购Cekap Semenanjung的股权,永成统一也会收购Sinergi Dayang。

Query Letter Contents
We refer to your Company’s announcement dated 10 February 2017 in respect of the aforesaid matter.
In this connection, kindly furnish Bursa Securities with the following additional information for public release:-
1) the basis of arriving at the purchase consideration of RM30 million.
2) justification(s) for the purchase consideration of RM30 million.
3) status of compliance of the Conditions Precedent to the commencement of the Project by Sinergi Dayang, and if relevant, the extended period to comply with the Conditions Precedent.
4) whether the Master En-Bloc Purchase Agreement has become unconditional.
We refer to the announcement dated 10 February 2017 (“Announcement”) and the queries from Bursa Securities dated 13 February 2017 in relation to the Proposed Acquisition. Unless otherwise stated, capitalised terms used in this announcement bear the same meanings as ascribed to them in the Announcement.
On behalf of WZ Satu, HLIB wishes to provide the following additional information:

1. The basis of arriving at the purchase consideration of RM30 million
As stated in the Announcement, the Purchase Consideration was arrived at on a willing-buyer willing-seller basis after taking into consideration the appointment of Sinergi Dayang as the contractor for the Project with a construction contract value of RM503.2 million. In addition, the Board has also considered the earnings to be derived from the Project after taking into consideration the estimated costs of constructing 2,426 PR1MA homes, together with all the necessary amenities, utilities, facilities and infrastructures, and 69 retail units in arriving at the Purchase Consideration.
WZ Satu has experience and expertise in the civil engineering and construction industry. The Company has commercially negotiated for financial due diligence to be conducted on the Target Group as a Condition Precedent to the SSA. In the event the Company is not satisfied with the outcome of the financial due diligence, which include the return on investment from the Proposed Acquisition, the Company has the option to terminate the SSA in accordance with its terms.

2. Justification(s) for the purchase consideration of RM30 million
As stated in the Announcement, the Board is of the view that the Purchase Consideration is justified in view of the potential earnings to be generated from the Project and the opportunity to expand the Group’s expertise and experience in the civil engineering and construction industry to include construction of housing development projects.
The Proposed Acquisition also provides an avenue for the Group to increase its order book from RM931.8 million as at 31 August 2016 to approximately RM1.4 billion. The enlarged order book is expected to increase the Group’s future revenue from its civil engineering and construction division. As such, the Purchase Consideration is reasonable as the Proposed Acquisition, if completed, is expected to contribute positively to the future financial performance of the Group.

3. Status of compliance of the Conditions Precedent to the commencement of the Project by Sinergi Dayang, and if relevant, the extended period to comply with the Conditions Precedent
As at the LPD, Sinergi Dayang has not fulfilled all of the MEBPA Conditions as Sinergi Dayang is currently in the process of obtaining the necessary development order and building plan approval for the Project. The relevant documents for the purpose of fulfilling the MEBPA Conditions as described in Appendix I of the Announcement will be submitted to PR1MA Corporation Malaysia once the development order and building plan approval have been obtained.
PR1MA Corporation Malaysia has, via its letter dated 20 December 2016, granted a third extension to the approval period for the MEBPA Conditions for 3 months until 18 March 2017.

4. Whether the Master En-Bloc Purchase Agreement has become unconditional
As at the LPD, MEPBA has not become unconditional as Sinergi Dayang is still in the process of fulfilling the MEBPA Conditions.

鄺漢光手持大量地庫 料積極發展房產業

(吉隆坡26日訊)富貴集團創辦人兼董事經理丹斯里鄺漢光和WZSATU(WZSATU,7245,主要板工業)一拍即合,並持有后者7.8%股權,崛起成為大股東,雙方合作興建一馬房屋,未來亦有意進一步釋放手持地庫的價值。

據《The Edge》報導指出,鄺漢光目前擁有多塊可供發展的土地及房地產,包括在吉蘭丹就有7000英畝的橡膠園及超過500英畝的榴槤園,但他拒絕透露總資產的價值。

鄺漢光及WZSATU的首次合作項目是在關丹興建一馬房屋,包含2426個房屋單位及69個零售單位。

鄺漢光是在本月10日與WZSATU簽署合約,由后者全面收購鄺漢光旗下的Cekap Semenanjung私人有限公司。

有鑒于手持大量地庫,各方都有意和他一同發展房地產項目,但他認為在當前房地產低迷時期,暫留住地庫將更具價值。

但鄺漢光說他目前和WZSATU正討論再發展一馬房屋,而他若決定這么做,合作對象首選WZSATU,但他不排除和任何策略夥伴共同發展地庫,並對合作機會抱持開放態度。【中国报财经】

We refer to the article published in The Edge Malaysia titled “Nirvana’s Kong unlocks value of his land in tie-up with WZ Satu” dated 27 February 2017 and, in particular, the following statements (in bold and italics):

It is worth noting that both parties may work together on another PR1MA project on a 200-acre site in Selangor, with a construction value of up to RM3 billion.
“We are in discussion for another PR1MA project. If I decide to do it, WZ Satu will be my priority,” Kong tells The Edge over the phone, adding that he is still studying the conditions, and his ideal settlement for the deal would be a mix of cash and WZ Satu shares.”
The Board of Directors of the Company (“Board”) wishes to clarify that the Company and Tan Sri Kong Hon Kong (“Tan Sri Kong”) have had preliminary informal discussions on the possibility of the Company and Tan Sri Kong working together in the future on another PR1MA project. However, at this juncture, no agreement has been reached as to the details of such project, such as its size and value.

(吉隆坡24日讯)由于油气制造业务业绩改善,激励永成统一(WZSATU,7245,主板工业产品股)截至2月杪次季,净利按年上涨9.04%至533万2000令吉。

该公司向交易所报备,上财年同期的净利达489万令吉。

同期营业额则涨21.07%,至1亿3799万2000令吉,上财年同期则录得1亿1397万7000令吉。

累计首半年,净利按年增加48.27%,至1383万4000令吉;营业额则按年增加23.66%,达2亿6816万4000令吉。

永成统一表示,当季营业额走高,是因为土木工程和建筑业务,以及油气业务所带来的贡献增加。

现有的油气制造业的经济环境,及营运情况依然充满挑战,该公司董事部会谨慎管理成本。

在目前艰苦的情况下,永成统一面对挑战将保有韧力,以改善这些业务对公司带来的贡献。
