永大拟发展城镇计划

2016年6月10日

(吉隆坡9日讯)近年转型产业发展的永大(YONGTAI,7066,主板贸服股),放眼通过发展城镇计划,崛起成为国内主要发展商。

永大总执行长巫光伦向《太阳报》透露,集团正在巴生谷周围找寻适合的地库,以发展城镇计划。

他指出,巴生谷周围有许多尚未开发的地库,其中存有潜能的地区为雪兰莪依约、布城与龙溪,或更远一点的森美兰州汝来。

基于巴生谷人口不断增长,他确信当地的产业需求将会提升,即使是不靠近巴生谷市中心的地区。

另一方面,巫光伦期望可在7月完成发行新股和优先股的企业活动,放眼筹集3亿3600万令吉,来推动城镇发展计划。

永大将使用当中的1亿6000万令吉,用于发展未来计划,包括收购新地库。【e南洋】

(吉隆坡1日讯)永大(Yong Tai Bhd)已与PGCG Assets Holdings私人有限公司合作,联手在瓜拉雪兰莪依约(Ijok)承建发展总值5亿1000万令吉的综合发展。

这家由服装制造商转为产业发展商的公司,今日向大马交易所报备,已就上述发展与PGCG签署谅解备忘录(MoU)。

双方计划联合发展一幅位于依约Puncak Alam的22公顷有期土地,并兴建1039个综合发展产业。

PGCG是美国上市公司Prime Global Capital Group Inc间接持股90%的子公司,是土地的登记地主。

截至6月23日,PGCG的董事是Wong Weng Kung、Chai Kok Wai和Jeremy Chia Pei Chai。

根据永大,瓜雪县议会已在2月24日和3月3日,批准这项可能包括住宅和商业单位的发展建议。

“PGCG应可享有该综合发展最终发展总值的20%,或双方同意的比例。”

永大说,MoU是双方正式确认有意探讨联营发展该地和兴建综合发展,也是表示双方有意商讨和敲定联营最终协议的条款。

SIGNING OF MEMORANDUM OF UNDERSTANDING BY THE COMPANY WITH PGCG ASSETS HOLDINGS SDN. BHD. ("PGCG")
The Board of Directors of YTB (“Board”) wishes to announce that the Company had on 1 July 2016 entered into a memorandum of understanding (“MOU”) with PGCG Assets Holdings Sdn. Bhd. ("PGCG") in respect of the proposed joint venture to jointly develop approximately 22 hectares of leasehold land located in Puncak Alam held under HS(D) 5460, PT No. 9135, Mukim Ijok, Daerah Kuala Selangor, Selangor (“Land”) and construct 1,039 mixed development  properties (“Proposed JV”). PGCG is the registered owner of the Land. (YTB and PGCG are collectively referred to as the “Parties” and respectively a “Party” to the MOU).

The MOU is not intended to be a legally binding agreement and is meant only to serve as a statement of intention of YTB and PGCG.

The MOU sets out the mutual understanding of each of the Parties as to the principal terms and conditions of the Proposed JV.

Pursuant to the MOU, the Parties have agreed to negotiate exclusively the detailed terms and conditions of the Proposed JV with the intention of entering into a definitive agreement.

永大凭单持有人准发优先股

2016年7月22日
(吉隆坡21日讯)永大(YONGTAI,7066,主板贸服股)宣布,凭单持有人批准发行2亿2005万股的不可赎回可转换优先股(ICPS),并让中国海景控股(Sino Haijing)入股。

根据文告,在今日的凭单持有人会议上,凭单持有人一致通过这项议案,允许永大发行优先股,发售价每股80仙。

这项优先股发行计划,是配合香港上市公司中国海景控股入股永大,以及回馈现有股东。

中国海景控股子公司Impression文化亚洲,在2月4日与永大签署协议,以2.8亿令吉入股永大,购入1.5亿股新股,以及2亿股优先股 。

完成购股活动后,该公司将成为永大的大股东,并持有33%股权。

为了回馈现有股东,永大也会以10送1比例,送出2005万股优先股给现有股东。

此外,永大也提议私下配售7000万股新股予第三方投资者。【e南洋】

永大引进中国海景为新大股东步入正轨

(吉隆坡10日讯)产业发展商永大(Yong Tai Bhd)今日就引进香港上市公司中国海景控股(Sino Haijing Holdings Ltd)为新大股东,向股东发出通告。

永大总执行长巫光伦今日在文告指出,该公司将在9月1日的股东特别大会(EGM)上,寻求股东批准该企业活动。

一旦获得通过,中国海景将寻求大马证券监督委员会(SC)批准,豁免强制收购永大余下股权。

根据这项企业活动,永大将向中国海景发行新股和不可赎回可转换优先股(ICPS),以及运用股利派送ICPS,以奖励现有股东。

“将以10送1比例,发送高达2005万股ICPS,以回馈现有股东一直以来的支持,并鼓励他们提高参与。”

永大在2月4日与中国海景子公司Impression Culture Asia Ltd签署认购协议。

根据协议,中国海景将以2亿8000万令吉入股永大,其中Impression Culture将认购永大特别发行的1亿5000万新股,合共1亿2000万令吉。以每股80仙计,占永大扩大后发行股本的34.5%。

Impression Culture也将以1亿6000万令吉,或每股80仙,认购2亿股ICPS。

认购这两批股票后,中国海景将成为永大的新大股东。

永大也提出私下配售最多7000万新股予独立第三方投资者,这将带来6000万至7000万令吉的营运资本。

同时,永大表示,位于马六甲的Impression City项目第一期工程预定在本月开始。

该公司补充,将继续物色机会,收购更多前景良好的土地,作为日后产业发展项目。

永大将推出54亿印象马六甲计划

(吉隆坡2日讯)永大(YONGTAI,7066,主板贸服组)表示,该公司在马六甲推介的印象城产业发展计划,将会为市场带来印象深刻的感觉。

上述城镇产业发展计划总发展价值为54亿令吉,占地100英亩,将分阶段发展,以在马六甲推行文化旅游产业发展计划。

该公司首席执行员巫光伦今日出席公司股东特别大会后,发表文告作上述披露。

巫光伦指出,该公司在马六甲的发展计划,将包含酒店、购物中心、住宅及商业单位的旅游生态的计划,特别是拥有一座室内歌剧院,主要呈现本地的文化表演。

今日的股东特别大会通过全部议案,它们主要是筹措资金计划。巫光伦认为,公司相信有关的企业活动将进一步推动公司的业务成长及为未来的扩充计划作好准备。

永大4.6亿售印象城1A

(马六甲26日讯)永大(YONGTAI,7066,主板贸服组)今日签署买卖协议,以4亿6100万令吉销售旗下综合发展项目印象城(Impression City)第1A阶段产业项目给东方联合产业公司。

永大首席执行员巫光伦在文告中说,该集团也与东方联合产业签下4亿1200万令吉的装修合约,负责上述产业的装潢工程。

“我们预期4亿6100万令吉的产业销售和4亿1200万令吉的装修工程将为2017年财务作出正面贡献。”

同时,永大也正与鑫桥联合控股(香港)有限公司(Golden Bridge United)展开最后阶段的洽商,获得近8亿令吉的投资和/或融资,以发展印象马六甲和印象城项目。

永大分别与鑫桥联合控股、华信谱惠资产管理、东方联合产业、中城建第六工程局集团、苹果印象私人有限公司、广之旅(马来西亚)有限公司和广西星湾文化有限公司签署5份协议,以启动发展总值达54亿令吉的印象城项目。

签约仪式由马六甲元首敦莫哈末卡立耶谷和马六甲首席部长拿督斯里依德利斯哈伦见证。

中国海景持股48.33%.成永大大股东

(吉隆坡11日讯)中国海景控股成为永大(YONGTAI,7066,主板贸服组)大股东,持股达48.33%。

交易所资料显示,香港上市的中国海景控股,在周四(11月10日)透过独资子公司印象文化亚洲公司(ICA),以每股80仙买进1亿5000万特别股,每股交易价80仙。

永大周四闭市上涨1仙或0.84%至1令吉20仙。

永大是在今年2月宣布发售新股以引进香港上市公司中国海景控股为大股东。

As the said ordinary shares arising from the Special Issue above will not be entitled to participate in the bonus issue of up to 20,046,000 new irredeemable convertible preference shares of RM0.80 each in YONGTAI (“ICPS”) on the basis of one (1) new ICPS for every ten (10) YONGTAI Shares held by the shareholders of the Company whose names appear in YONGTAI Record of Depositors as at 5.00 p.m. on 24 November 2016 (“Entitlement Date”) (“Bonus Issue of ICPS”), there will be two (2) separate quotations from the date as follows:
(i)         existing ordinary shares of the Company will be quoted as “YONGTAI”.
(ii)        the 150,000,000 Special Issue Shares will be quoted as “YONGTAI-OA”.

The Stock Number and ISIN Code of the “YONGTAI-OA” shares are “7066OA” and “MYL7066OA002” respectively.

The “YONGTAI-OA” shares will cease to be quoted with effect from 9.00 a.m.,Tuesday, 22 November 2016 and will merge with the existing “YONGTAI” shares as from that date.
