The Board of Directors of Ewein ("the Board") is sad to announce that Dato' Ewe Swee Kheng ("Dato' Ewe"), our Executive Chairman has passed away on Tuesday, 5 October 2021. The Board expresses its deepest sorrow over the death of Dato' Ewe and conveys its deepest condolences to his family. The Board also expresses its deepest gratitude for the enormous  contribution to the Group by Dato' Ewe over the years. The Group has an experienced management team, most of whom have been with the Group for years. The Board of Directors of Ewein Berhad (“Ewein” or the “Company”) wishes to announce that SkyDorm Sdn Bhd  [Registration No. 202301034298 (1528221-K)] (“SKYDORM” or the “Purchaser”), the wholly-owned subsidiary of Ewein Land Sdn Bhd (“ELSB”) [Registration No. 201101029684 (957819-V)], which in turn the wholly-owned subsidiary of Ewein had on 18 September 2023 entered into a Sale and Purchase Agreement (referred to as the “Agreement”) with Ms Tan Hong Soon (NRIC No. 490315-08-5008) and Mr Tan Kean Hock (NRIC No. 711003-07-5405)(collectively referred as the “Vendor”), for the purchase of all that piece of freehold land and hereditament known as Lot 10048, Mukim 06, Daerah Seberang Perai Tengah, Pulau Pinang held under GM 2533 with land area measuring approximately 3.9306 hectres (“Land”), for a total cash consideration of Ringgit Malaysia Thirty Nine Million and Seven Hundred Seventy Thousand and Two Hundred Eight (RM39,770,208.00) only (hereinafter referred to as “Acquisition”). On behalf of the Board of Directors of Ewein, UOB Kay Hian Securities (M) Sdn Bhd wishes to announce the following:- Delight Island Sdn Bhd, a wholly-owned indirect subsidiary of Ewein had on 26 March 2024 entered into a conditional sale and purchase agreement with Magnum Heritage Sdn Bhd, a related party, for the acquisition of a parcel of vacant industrial land formed by 14 contiguous lots located in Seberang Perai Utara, Pulau Pinang for a total cash consideration of RM25,839,818.34 (“Proposed Land Acquisition”); and in conjunction with the Proposed Land Acquisition, the Company intends to undertake proposed diversification of the existing principal activities of Ewein and its subsidiaries to include the provision of workers’ dormitory accommodation and manpower management related services (“Proposed Diversification”). For avoidance of doubt, the Proposed Land Acquisition and Proposed Diversification are not inter-conditional upon each other. In view of the interest of certain directors and an interested major shareholder of Ewein in the Proposed Land Acquisition, the Proposed Land Acquisition is deemed as a related party transaction under Paragraph 10.08 of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad. Accordingly, MainStreet Advisers Sdn Bhd has been appointed as the independent adviser to advise the non-interested directors and non-interested shareholders of the Company in relation to the Proposed Land Acquisition.
