("PSSB") | Reference is made to the Company’s announcement dated 4 March 2019 in relation to the MOU entered into by ARB Development Sdn Bhd ("ARBD") and Perkasa Selalu Sdn Bhd ("PSSB") in relation to the development of an Intelligence Modern Lifestyle project to promote the concept of Smart Home System Service Apartment for a proposed mixed development to be developed at Daerah Kuala Selangor (“IOT SEPCM Project”) (“Announcement”). Unless otherwise defined, the definitions set out in the Announcement shall apply herein.
Pursuant to the MOU executed between ARBD and PSSB, PSSB has appointed ARBD for the IOT SEPCM Project. At the request of ARBD, PSSB agreed to enter into a Joint Venture Agreement with ARBIOT Sdn Bhd ("ARBIOT") ("JV Agreement").
The Board of Director of Aturmaju Resources Berhad (“ARB” or “the Company”) wishes to announce that ARBIOT, an indirect wholly-owned subsidiary of ARB, had on 27 March 2019, entered into a JV Agreement with PSSB.

/TEK Cc : Market Surveillance Dept. , Securities Commission (via fax) | Unless otherwise defined, the terms used herein shall have the same meaning as defined in the announcements dated 4 March 2019 in relation to the MOU, announcement dated 27 March 2019 in relation to the JV Agreement and announcement in relation to our reply to Bursa queries dated 1 April 2019. The Board of Directors of Aturmaju (“Board”) wishes to furnish additional information pertaining to the JV Agreement, as follows:-
1. Further explanation on how to derive at the proposed contract value of RM78 million in view that there is uncertainty as PSSB has yet to obtain the Requisite Approvals for the Development Project; and
The Company hereby reiterates that PSSB had obtained the development order for the Development Project vide letter from Majlis Daerah Kuala Selangor dated 22 November 2018.
Pursuant to the JV Agreement entered into by ARBIOT and PSSB dated 27 March 2019, the JV Agreement established a joint venture between PSSB and ARBIOT to carry out the IoT system, engineering, procurement, commissioning and management (“IoT SEPCM”) for the entire intelligent modern lifestyle project which promotes the concept of smart home system service apartment in accordance to the approved development order from Majlis Daerah Kuala Selangor for the development of a serviced apartment comprising one (1) tower block consisting 39 commercial units and 286 residential units serviced apartment including facilities, to be developed at Daerah Kuala Selangor (“IoT SEPCM Project”).
For the IoT SEPCM Project, ARBIOT shall be responsible for the following:
(i) to act as the sole project consultant to handling all resources, scope, time, cost, risk, communication, procurement, contracts, quality etc, whereby ARBIOT to outsource the construction works and related jobs to third party with consent from PSSB and to manage the integration of the whole system into the IoT SEPCM Project, including engineering works of IoT, ensuring the suitability of the procurement of development material, commissioning of installation of IoT system and devices, in order for the IoT SEPCM Project to meet the various standard and specification to develop and complete the IoT SEPCM Project, in a well-developed framework;
(ii) to design, execute all pre-commissioning and commissioning activities and testing of IoT systems, including installation of wire and wireless and mechatronic works required; and
(iii) to obtain financing for the IoT SEPCM Project, comprise of all cost and expenses involved, with the development land to be charged to the financial institution.
For the purpose of the joint venture with PSSB, the contract sum of RM78 million was awarded to ARBIOT on the terms that ARBIOT to undertake the whole IoT system, engineering, procurement, commissioning and management of project, not solely limited to IoT works as described item 1(ii) above. Approximately 35% of the contract value inclusive of works related to commissioning of IoT systems under item 1(ii) above and the remaining 65% of the contract value will be for works described under item 1(i) above.​
2. The estimated financial commitment required for ARBIOT to proceed with and complete the IOT SEPCM Project together with its source of funds and to assess whether there will be any financial impact to the Group.
The estimated financial commitment required for the IoT SEPCM Project is approximately RM40 million, which will be funded by bank borrowings subject to the Company’s gearing level and collection of stages of works payment from PSSB throughout the development period, of which the exact breakdown is yet to be determined at this juncture.
The financing of RM40 million to be obtained by ARBIOT from licensed financial institution is to partly fund the expenditure to be incurred for the development of IoT SEPCM Project and is still pending bank approval.
Pursuant to the JV Agreement, PSSB agrees that the Development Land may be caused to be charged by ARBIOT to any licensed financial institution as security to obtain bank borrowings for the purpose of the IoT SEPCM Project.
