The Board of Directors of SunCon is pleased to announce that Sunway Construction Sdn Bhd (“SCSB”), a subsidiary of SunCon, has on 5 December 2018, accepted the Letter of Award issued by SA Architects Sdn Bhd on behalf of Sunway Integrated Properties Sdn Bhd (“SIPSB”), in respect of the main building works including basement architectural and M&E works, pedestrian bridges and associated external works for the “Proposed Development of Block 1A (22 Floors) which comprises 3 floors of Commercial Area, 8 floors of Office Area, 11 floors of Serviced Apartments, Pedestrian Decks and 4 floors of Basement Carpark on part of PT 495 Seksyen 90, Jalan Peel, Jalan Shelley and Jalan Cheras, Wilayah Persekutuan, Kuala Lumpur”, for a total contract sum of RM100,000,000.00 (“Project”). SIPSB is an indirect subsidiary of Sunway Berhad (“Sunway”), which in turn is a major shareholder of SunCon.

The Project is for a period of approximately 29 months from the date of commencement, i.e. 16 November 2018, and is expected to be completed by 30 April 2021. The Project is expected to contribute positively to the earnings of SunCon from the financial year ending 31 December 2019 onwards.

Upon securing the Project, SunCon’s new order book secured to-date amounts to RM1.5 billion.

The Project is subject to normal construction risk of materials price fluctuation. However, with the past experiences and expertise of SCSB in construction projects, this risk could be mitigated.

The Project is a related party transaction by virtue of Evan Cheah Yean Shin being a Director and major shareholder of SunCon as well as director of several subsidiaries and major shareholder of Sunway. Tan Sri Dato’ Seri Dr Jeffrey Cheah Fook Ling, Puan Sri Datin Seri (Dr) Susan Cheah Seok Cheng, Sarena Cheah Yean Tih, Adrian Cheah Yean Sun, Sungei Way Corporation Sdn Bhd and Active Equity Sdn Bhd are major shareholders of both SunCon and Sunway as well as person connected to Evan Cheah Yean Shin. Dato’ Chew Chee Kin is a Director of both SunCon and Sunway.

SunCon has obtained its shareholders’ mandate for such recurrent related party transactions entered into or to be entered into by SunCon and its subsidiaries with Sunway and its group of companies at its last annual general meeting held on 20 June 2018.

The remaining 45% equity interest in Sunway CT was subscribed by Chiu Teng Construction Co Pte Ltd (“Chiu Teng Construction”). The Board of Directors of SunCon wishes to announce that SCSB has on 22 February 2019 entered into a Novation Agreement with Prasarana and MRCB George Kent Sdn Bhd (“MRCB George Kent”) in relation to the Project. Akmida Holdings Sdn Bhd to SunGeo for the bored pile works for viaduct and station in respect of the project known as Construction and Completion of Guideway, Stations, Park and Ride, Ancillary Buildings and other Associated Works for Package GS10 for Light Rail Line 3 (LRT3) from Bandar Utama to Johan Setia (Package GS10) (“LRT3 Piling Project”), for a total contract sum of RM47,645,675.50. The LRT3 Piling Project shall commence on 25 March 2019 and is expected to be completed on 24 March 2020.

(b) Letter of Award issued by Putrajaya Development Sdn Bhd to SCSB for the Proposed Construction and Completion of Earthwork, Piling and Associated Works for the Proposed Transit Oriented Development at Plot 7MD7, Precinct 7, Putrajaya (“Putrajaya Piling Project”) for a total contract sum of RM38,789,000. The Putrajaya Piling Project shall commence on 25 March 2019 and is expected to be completed on 24 July 2020.

The LRT3 Piling Project and Putrajaya Piling Project (collectively referred to as the “Projects”) are expected to contribute positively to the earnings of SunCon Group from the financial year ending 31 December 2019 onwards.

1. INTRODUCTION
We wish to announce that Sunway Builders (Myanmar) Co Ltd (“SBM”), an indirect wholly-owned subsidiary of SunCon, had on 1 April 2019 entered into a Memorandum of Understanding (“MOU”) with Capital Construction Limited (“CCL”) to cooperate, collaborate and share expertise on infrastructure and construction projects in Myanmar.

2. INFORMATION ON SBM AND CCL
2.1    SBM
SBM is a private company incorporated in Myanmar and having its registered office at La Pyayt Wun Plaza, 410 (B), 4th Floor, 37 Alanpya Pagoda Road, Dagon Township, Yangon, Myanmar. The paid-up capital of SBM is USD50,000. The principal activity of SBM is business of general construction activities.
2.2    CCL
CCL is a private company incorporated in Myanmar and having its registered office at No. 9, Yawmingyi Lane, Yawmingyi Quarter, Dagon Township, Yangon, Myanmar. The paid-up capital of CCL is MMK10,000,000.
CCL is a leading construction company in Myanmar and it serves as a general contractor with both civil and structural, and mechanical and electrical design, and engineering capabilities. CCL is also a member of Capital Diamond Star Group (“CDSG”), one of Myanmar’s most respected and prominent conglomerates with leading businesses in food, retail, real estate development, construction, healthcare, banking, insurance and micro finance sectors.

3. RATIONALE
With this partnership, SBM and CCL (collectively referred to as the “Parties”) plan to jointly bid for potential projects ("Projects") to be developed by CDSG over the next three years, such as mixed developments, offices, hotels and hospitals in Yangon and Mandalay, as well as external infrastructure projects. The MOU will also enable both construction giants to share construction knowledge and expertise in project management, to put forward the most effective strategy for project development.

4. SALIENT TERMS OF THE MOU
4.1    Pursuant to the MOU, the Parties will endeavor to assist and support each other in the Projects.
4.2    The MOU shall form the basis of consensus for the Parties to examine their collaboration in the Projects until such time a definitive agreement is entered into by the Parties for each of the Projects before the submission of a tender and upon the terms and conditions to be mutually agreed upon.
4.3    The proportions of the Parties’ participating interest in the joint venture shall be as follows:
(a) For internal projects undertaken by CDSG and its group of companies whereby CCL shall be the lead member, the proportion in the joint venture shall be:
CCL = 65%
SBM = 35%
(b) For external projects undertaken by the joint venture apart from the CDSG and its group of companies’ internal projects whereby SBM shall be the lead member, the proportion in the joint venture shall be:
SBM = 60%
CCL= 40%

5. EFFECTS OF THE MOU
5.1    Share Capital and Substantial Shareholders’ Shareholding
The MOU will not have any effect on the share capital and substantial shareholders’ shareholding of SunCon as it does not involve any allotment or issuance of new shares by SunCon.
5.2    Earnings Per Share, Net Assets Per Share and Gearing
The MOU is not expected to have any immediate material effect on the earnings per share, net assets per share and gearing of SunCon for the financial year ending 31 December 2019.

6. APPROVALS REQUIRED
The entering into the MOU does not require approval from the shareholders of SunCon or any relevant authorities.

7. DIRECTORS AND MAJOR SHAREHOLDERS’ INTEREST
Insofar as the Directors are aware, none of the Directors or major shareholders of SunCon or persons connected with them has any interest, direct or indirect, in the MOU.

8. STATEMENT BY THE BOARD OF DIRECTORS
The Board of Directors of SunCon is of the opinion that the entering of the MOU is in the best interest of SunCon Group.

The Petronas Project shall commence on 1 August 2019 and is expected to be completed on 31 March 2021;

(b) Letter of Intent issued by Sunway South Quay Sdn Bhd [an indirect subsidiary of Sunway Berhad (“Sunway”), which in turn is a major shareholder of SunCon] to SCSB for the Earthwork, Temporary Works, Piling Works and Secant Bored Pile Wall Works for the Proposed Mixed Development on part of Lot No. PT1351 (Parcel CP2), Bandar Sunway, Daerah Petaling, Selangor Darul Ehsan (“CP2 Project”), for a total contract sum of RM119,000,000.
