Shares of AusGroup, which provides construction services to the mining as well as oil and gas industries, surged after the company said it is looking to list on the Australian Securities Exchange.

AusGroup shares rose as much as 12% to $0.46, the highest since May 20 last year. Nearly 38 million shares were traded, 4.6 times the average full-day volume over the past 30 days. AusGroup was among the top traded stocks by both value and volume in the Singapore market.

AusGroup, based in Australia, will demerge all of its subsidiaries into a group headed by AGC Australia Pty. It will then seek a sole listing of AGC on ASX, while AusGroup will remain listed on the Singapore Exchange.

“It is the board’s opinion that a sole listing of AGC on the ASX would provide better value to shareholders compared to a dual listing of AusGroup in Australia and Singapore, particularly as the ASX is the world’s largest mining and resources exchange,” AusGroup chief executive officer Laurie Barlow said in a statement.

DMG & Partners Securities initiated coverage of AusGroup with a ‘buy’ rating and a target price of $0.755, citing the company’s strong earnings potential, improving margins and bright industry outlook.

“With a strong earnings growth profile, AusGroup joins our top picks with a high potential to double in two years,” DMG said. The broker added that AusGroup was trading at a 6.6 times historical price-earnings ratio and 4.9 times forward PE.

AusGroup is an attractive value play, with its current price yet to reflect its growth potential, AmFraser says, viewing the stock as cheap trading at only 6.5x PER vs its peers’ average 13.6x.

It says AusGroup is a turnaround story, posting a strong recovery from its FY10 earnings trough, with strong net margin improvements. The company is poised to benefit from huge capex in Australia’s mining sector, with good orderbook growth trends, it says, noting the orderbook was A$420 million ($537 million) at fiscal-2H12.

“We expect orderbook to grow in tandem with Australia’s mining outlook backed by strong capex flows, particularly in LNG and oil and gas in the longer term. Committed projects in the iron ore and coal space should drive demand for AusGroup’s services in the shorter term.”

It tips potential 18%-20% earnings CAGR to FY16. AmFraser says AusGroup’s main risks are from execution, Australia’s rising labor costs and a possible sustained fall in commodity prices. AmFraser doesn’t rate the stock. The stock is up 22% at $0.50.

个人觉得AUSGROUP的PE也蛮低的。不过到底过后市场如何，见仁见智。

AusGroup said profit after tax for the first quarter of FY2013 (1Q FY2013) slightly more than doubled to A$6.3 million ($8 million) from A$3.1 million a year ago (1Q FY2012).

Revenue for the quarter increased by 25.9% to A$155.9 million from A$123.8 million mainly due to higher activity levels in both the Major Projects and Fabrication segments.

AusGroup said despite the softening of commodity markets, the longer term outlook for the Australian resources sector in the Western Australian, Northern Territory and Queensland markets in oil and gas, LNG, coal seam methane and in iron ore mine development continues to be positive.

The group is confident of seeing sustained demand for its services over the next few years due to the range of services the group can offer in these markets as a multidisciplinary contractor.

AusGroup also has work in hand to the value of A$303 million as of Nov 8.

AusGroup announces $16.8m Fugro-TSM contract

AusGroup subsidiary, AGC Industries Pty Ltd, the leading Australian based fabrication and construction group, announced it has won fabrication work from Fugro-TSM for Woodside’s Greater Western Flank (GWF) project.

The contract is for the fabrication of post metrology subsea spools for the first phase of the project which will commence immediately for a period of 12 months and is worth $13 million ($16.8 million).

The work will be performed in Kwinana and at the Australian Marine Complex (AMC) quay side facility in Henderson, south of Perth, Western Australia. It is expected to create work for approximately 30 new staff, based at the AMC.

With this contract award, AusGroup’s order book now stands at A$271.1 million.

AusGroup subsidiary AGC Industries Pty Ltd, the Australian based construction and fabrication company, announced it has won additional fabrication work to the value of A$20 million ($25.9 million) on the Chevron-operated Gorgon Project, taking the total contract value to more than A$70 million.

AGC’s scope of work involves high specification fabrication of stainless and carbon steel pipework, non-destructive testing, post weld heat treatment, blasting and LNG specification painting related to the LNG modules for trains 1-3 on the Gorgon Project. Fabrication will be undertaken at AGC’s manufacturing and fabrication facilities in Kwinana and Henderson, Western Australia.

With this contract award, AusGroup’s order book now stands at A$280 million.

AusGroup said it has agreed to purchase 100% of the share capital in Kebun Sedenak Sdn Bhd and 100% of the share capital in Tropik Sentosa Sdn Bhd for $210 million.

The purchase consideration shall be satisfied by the issue of new AusGroup shares representing about 80.15% of the enlarged 7.2 billion share capital after the completion of the RTO deal from 480 million before the deal.

The acquisition is a key step in the proposed demerger of AusGroup’s subsidiaries into a 100%-owned subsidiary which it intends to list on the Australian Securities Exchange (ASX ) and a proposed reverse takeover of AusGroup involving the acquisition of the target holding companies.

The purchase consideration under the SPA will be via the issue of new ordinary shares in the capital of AusGroup , which remains listed on the Singapore Exchange (SGX).

The target holding companies and their subsidiaries are in the business of the development, management and operation of resort homes, condominiums, hotels and commercial and residential developments. The target holding companies between them own considerable freehold land in Malaysia upon which they propose to develop a golf resort.

Completion under the acquisition is conditional on approval of SGX and AusGroup shareholders, AusGroup added.

AusGroup has revealed the details of the next key step towards its relisting onto the ASX. The RTO companies will be Kebun Sedenak Sdn Bhd and Tropik Sentosa Sdn Bhd (Target Group), whose assets include freehold land and a golf resort in Malaysia. "As insufficient information was disclosed, our valuation of $0.66 is for AusGroup only, and we leave as potential upside any incremental value arising from the RTO," says OSK DMG in a note.

The Target Group owns about 1,015 acres of freehold land in Iskandar Malaysia and intends to acquire another 47 acres for a total of 1,062 acres. They also own The Legends Golf & Country Resort, which is a master-planned resort comprising one 18-hole Jack Nicklaus-designed championship course, one 9-hole Arnold Palmer-designed course and other assets. The main business of the Target Group after the RTO will be property development and management.

The Target Group’s shareholders include the Oh family which owns The Legends Fort Canning Park, Hotel Fort Canning, and is linked to the Eng Wah Global Group. Another big name is The New World Group from Hong Kong, a conglomerate with HK$311 billion in assets.

The ASX listing will i) offer AusGroup additional currency to pursue M&A opportunities in Australia, ii) improve its access to funds and banking arrangements being listed in a market with investors familiar with its operating environment, iii) increase its profile and enlarge its client base in Australia, and iv) increase its currency to retain staff via share schemes. As such, we see continued impetus for management to complete this relisting process.

After current shareholders receive distributions in specie of the ASX-listed Austco shares, the SGX-listed AusGroup will contain only Target Group assets. "Without sufficient information to fair-value these assets, we leave as potential upside any incremental value from the land and golf resort, and maintain our BUY on AusGroup at a TP of $0.66," says OSK DMG.
