AusGroup’s subsidiary AGC Industries, the Australian-based fabrication and integrated services company supporting energy sectors, has been awarded a three-year three-month extension on their calciner overhaul maintenance contract with Alcoa of Australia.

The extension contract is valued at A$36 million ($42 million). The work will be located at Alcoa’s Western Australian calciners located at Kwinana, Pinjarra and Wagerup refineries. The contract boosts AusGroup’s order book to A$252 million.

Ausgroup said has signed an agreement with a buyer for its Singapore fabrication facility which allows Ausgroup to leaseback the facilities.

This means there will be no stoppages on its day-to-day operations and to continue providing clients with high quality fabrication and machining services together with timely delivery.

The facility is located in a secure area of over 30,000 sqm, which consists of an enclosed fabrication facility, machine shop and staging areas with waterfront access.

The purchase price offered was at A$33 million ($39 million), significantly higher than its net book value.

An estimation of the profit on disposal is stated to be A$14.5 million, including the one-off sale proceeds and the rest recognised over the period of the lease.

AusGroup says debt repayment a positive move

AusGroup said the recent repayment of all senior debt should be seen as a positive move to ensure that any incoming lenders had a clean balance sheet to work with for security.

The group also added it has the cash to meet its working capital needs over and above that used to back all its guarantees.

AusGroup made these statement in its response to media enquiries and analyst speculation following its recent announcement that it has fully repaid its senior debt facilities and cash-backed all bank guarantee facilities with the group’s club bank facility of Australia & New Zealand Banking Group and HSBC Australia Pty Ltd.

The company admitted that the recent Q1 results led to a breach on lending covenants although that had been been successfully resolved through the repayment.

However, it said existing facilities are due to expire in mid-January 2014 and the group is undergoing "a planned market-led process for participants to provide working capital and contract bonding facilities in early 2014".

AusGroup said the announcement of the increase in work-in-hand to A$219 million should be seen as evidence that its continuing strategy to refocus on the oil and gas sector, for both capital and maintenance opportunities, is gaining momentum.

Its exposure to the increasingly competitive and slowing mining sector is also decreasing, it added.

为澳洲商品领域提供专业工程服务的澳洲集团(AusGroup)继续面对压力，原因是采矿业活动减少及超支问题使其1Q14毛利率及净利率为负数。

侨丰-德意志摩根建富(OSK-DMG)表示，澳洲集团的毛利率为负数，表示它每天都在亏钱，这使其财务状况承受重压。我们怀疑，这可能已导致它违反了贷款契约，必须偿还优先债务及2014年1月中到期的所有银行担保。这因此使其截至2013年9月30日的现金减少至790万澳元。

公司之前通过脱售新加坡物业及相关的固定资产而取得1,020万澳元盈利，因此仍持有现金，但它也持续“出血”，这使其无法偿还债务的风险提高。

虽然许多投资者都不看好这只股的走势，但其股价已下跌了不少，而且看来会企稳在0.177元至0.183元的范围。平滑异同移动平均线(MACD)正往上攀升，看来将会是一个正面的讯号，这可能带来买入这只股的机会。此外，14天相对强弱指标(RSI)仍处于超卖区(oversold)，显示近来的抛售情况可能过度了。

敢于承担风险的投资者可考虑“捞底”，短期目标价为0.20元(第二次跳空低开该日的闭市价)，止损点可设在0.162元(2013年12月16日创下的低位)，风险回报率(risk-to-reward ratio)为1:1.5，但尝试“捞底”的风险不小，基于有关公司的负面因素不少，保守的投资者不应买入。

新配售股将以每股0.168元发售，总收益约为1,520万元(在扣取开支后)。截至宣布售股的日期，配售股的数目相等于大约公司总发行股的19.9%。

从配售新股所获得的50%净收益将会留作公司日后发售债券时作抵押，而余下的50%将用作一般营运资本。

AusGroup, a mining services company listed in Singapore, advanced the most in more than five years after the Perth-based company said it plans to raise $15.2 million from a share sale.

The stock surged as much as 32 % to 25 cents in its biggest gain since November 2008, and traded at 24 cents as of 11:08 a.m. local time. The company will issue 96.1 million new shares at 16.8 Singapore cents apiece through a private placement, according to a Singapore stock exchange filing.

AusGroup plans to use half of the money raised as collateral to secure future lending, and the other half as general working capital. The company breached banking covenants in the quarter ended September after it reported a fiscal first- quarter net loss of A$15.1 million ($17.1 million), caused by the downturn in mining services, the company said in its results statement.

“The share placement will help the company to secure its lending lines from the banks and provide liquidity in the short term,” Lee Yue Jer, a DMG & Partners Securities Ltd. analyst, said by phone. “But the long-term fundamental issues remain. The low order book and returning to profitability are still the key challenges.”

DMG & Partners warned last month that AusGroup was “at serious risk of insolvency” and may be “burning cash,” noting that a low order book and asset use will continue to weigh on profitability.

Ausgroup and Ezion to pursue opportunities in Port Melville

Ausgroup said it has entered into an agreement with Ezion to pursue opportunities in using the capacity of Port Melville to augment Darwin Port to tap higher regional demand from the oil and gas and resources industries in Australia.

Other business opportunities include the provision of logistics supply chain and related support services; the development of tank farm and engineering services; as well as the development of oil and gas infrastructure development.

On April 3, Ezion acquired 39.9 million ordinary shares in the capital of the Ausgroup to an off-market transaction, which represents 6.9% of the shares of the company. Accordingly, Ezion is now a substantial shareholder of Ausgroup.
