Bhd. (“Announcements”) The financial and legal due diligence exercises pertaining to the Proposed Acquisition have been completed. 行家建议

目前，大安榨油率维持在19.3%，种植业务净赚7400万令吉，占整体60%，预计今明财年，会再增加5%和10%。

其中，原棕油销量估计今明财年会上扬5%和8%，平均售价走高2%和4%；而棕仁料增加5%和10%，平均售价走高5%和10%。

木材业务整体，接下来仍低迷。目前伐木量达13万立方米，大安准证和认证流程合并后，预计会下跌。

我们预测，今明财年伐木量，分别减少5%和10%，平均售价则各减5%。

1. INTRODUCTION The Board of Directors of Ta Ann Holdings Berhad (‘Ta Ann’ or ‘the Company’) wishes to announce that a wholly owned subsidiary of the Company, Ta Ann Plantation Sdn Bhd (‘TAP’) has on 12th May, 2017 acquired one share in TBS Oil Mill Sdn Bhd (‘TBS’) from Dato Wong Kuo Hea, representing 50% of the share capital of TBS for a total cash consideration of RM1.00 (‘Acquisition’). The other share in TBS is acquired by Bulat Palm Centre Sdn Bhd (‘Bulat’). With the Acquisition, TBS becomes a subsidiary of Ta Ann. TBS is a company incorporated in Malaysia on 4th March 2017, with two promoter shares issued to Dato Wong Kuo Hea and Ms Marianne Cheng Wei Wei respectively. 2. RATIONALE OF THE ACQUISITION The new subsidiary acquired would be used as the joint venture vehicle for the establishment and operation of an independent 45mt/hour capacity crude palm oil (‘CPO’) mill in Selalang, Sarawak pursuant to a Memorandum of Understanding (‘MoU’) dated 27 March 2017 entered into between TAP and Bulat. Selalang is located in the central region of Sarawak where a number of oil palm estates are in existence. Bulat is a palm oil fresh fruit bunch (‘FFB’) collecting centre operator which will be responsible for collecting and supplying FFB to the CPO mill once established. TAP will provide technical support to the running of the mill. Under the MoU, the share capital of TBS will be raised by stages in accordance with the progress of the mill establishment. Respective holdings of TAP and Bulat are in the proportion of 55% and 45%. Eventual share capital of TBS is expected to be RM20 million. 3. FINANCIAL EFFECTS OF THE ACQUISITION The Acquisition will not have any material impact on the net assets and share capital of Ta Ann, nor the substantial shareholding structure. No approval from any regulatory body is required. 4. DIRECTORS’ AND MAJOR SHAREHOLDERS’ INTERESTS Dato Wong Kuo Hea, being a Director and major shareholders of the Company, is deemed interested in the Acquisition by virtue of the promoter share held by him. 大安向交易所报备，次季营业额微跌1.01%，报2亿6636万6000令吉，去年同季报2亿6908万1000令吉。

文告指出，该季业绩改善，主要因为原棕油和鲜果串销售量，分别增加11%和16%，以及原棕油和鲜果串平均售价，各别走高16%和3%。

因原棕油价和鲜果串产量走高，大安（TAANN，5012，主板工业产品股）2017上半年核心净利达7300万令吉，按年涨74%。

种植业务的税后盈利按年暴增2.8倍，但伐木业的盈利贡献却年减47%。这可归咎于伐木条例收紧，虽然造成木材价格走高，但却抑制了销量。

同时，该公司也宣布派发股息5仙，是今年度第2次的中期股息。

行家建议：

大安首半年核心净利超越预期，分别达市场和我们全年预测的59%和64%。

每股5仙的中期股息，使今年股息已累积至10仙，达到我们全年预测11.6仙的86%。因此，我们上修股息预测29%至15仙，预计派发率为53%。

（吉隆坡29日讯）大安（TAANN，5012，主板工业产品股）截至9月30日第三季，净利按年大跌55.65%，录得2309万令吉或每股5.19仙。

大安今日向交易所报备，营业额按年减少11.92%，报3亿817万1000令吉。

9个月赚9581万

营业额和盈利减少，主因是胶合板产品和出口原木销量，分别走低37%和55%。

累计九个月，净利年增2.34%，达9581万1000令吉；营业额写8亿8010万3000令吉，年升5.09%。

大安指出，首九个月业绩表现佳，归功于原棕油和鲜果串销量，分别增11%和13%，以及原棕油和鲜果串平均售价，各别走高14%和11%。

展望未来，大安预计，原棕油领域料会是接下来季度的主要盈利贡献。

虽然木材领域表现不佳，但基于日本的胶合板库存较低，加上为迎接奥林匹克而进行的基建工程，将动用大量公司的胶合板产品，料木材市场会反弹。【e南洋】

（吉隆坡11日讯）大安（TAANN，5012，主板工业产品股）以每股2令吉或总值1亿6993万6048令吉，收购砂拉越种植（SWKPLNT，5135，主板种植股）约30.39%股权。

大安向交易所报备，与Cermat Ceria私人有限公司签署有条件股票买卖协议，收购砂拉越种植8496万8024股或相等于约30.39%股权。

每股收购价2令吉，是截至1月10日的5天、1个月、3个月和6个月交易量加权平均市价（VWAP）分别溢价11.48%、10.11%、13.83%和17.23%。

完成收购之后，砂拉越种植将成为大安的联号公司。

这项收购符合大安进一步在砂拉越扩增棕油种植业务的计划，因为砂拉越种植拥有庞大的种植地。

砂拉越种植的种植地规模达3万4837公顷，其中2万6825公顷是成熟种植地，树龄介于3至21年以上，而剩余8012公顷则属非成熟种植地，树龄少于3年。

由于油棕树龄较低，其中41%属于未成熟和初成熟，而50%则达到成熟期，所以未来油棕收成率将进一步改善。因此，这将推动砂拉越种植净利，并反映在大安业绩表现。

若是考虑到收购的30.39%股权，大安已种植地预计将扩大约23%。

虽然我们认为收购价合理，但有几个关键问题仍需要被留意。

首先，砂拉越种植的鲜果串产量仅达每公顷12.38吨，比大安和砂州平均的每公顷16.13和18吨逊色得多。

其二，砂拉越种植旗下有23.2%或8083公顷的已种植地皮坐落在灰色地带，可能会与当地原住民出现纠纷。

为此，大安在完成收购地同时，已开始与当地居民进行谈判。公司有信心可从今年开始，每年达到30%的产量复苏。

如果产量复苏计划顺利进行，砂拉越种植未来5年的鲜果串产量可增7至22%。

大安坐拥近2.83亿令吉现金且负债率极低，计划通过向银行举债来筹大部分的收购资金。

因旗下树龄年轻，大安未来2年的鲜果串产量应该会有可观的增长，预计会介于10至18%。
