放眼净利双位增长 合礼盛拟收购扩展零售业

（吉隆坡7日讯）近几年净利表现不佳的合礼盛（HARISON，5008，主板贸服股），打算通过数项计划来重振公司收益表现，包括收购以及提高零售业务。

据《The Edge》报道，该公司董事经理陈博金（译音）指出，合礼盛目前对业务抱持谨慎态度，并且计划缩小免税业务规模，因此，该业务在近几年净利表现已降低。

“我们意识到目前的营运环境困难，因此，除了维持目前的核心业务外，也会寻求发展至另一个业务，能为公司贡献发展来源。”

陈博金希望在未来2至5年内，通过数项发展促使公司净利双位数增长。

在2006至2010年财年间，该公司每年净利曾取得22%至37%的增长幅度。

目前，公司在进行一项并购计划，能额外增加数百万令吉的营业额，高于现有核心业务分销的赚幅和收益。

双方正处在商谈的最后阶段，而陈博金只是透露，对方是持有跨国品牌的本地公司。

合作取得品牌与技术

合礼盛也计划扩展零售业务，料成为未来5至10年的收入来源，目前正与其他区域的业者洽谈。

“我们和数家来自日本和欧洲的零售业者沟通，计划带入其他的零售概念，现阶段已取得实质性的进展。”

提升自动化　哈礼盛引进新產品拼盈利

（吉隆坡21日讯）哈礼盛控股（HARISON，5008，主板贸服股）打算通过提升自动化技术，减少人力成本，同时也计划引进更多供分销的產品，藉此改善其盈利赚幅。

哈礼盛控股董事经理陈宝钦在股东大会后接受《东方財经》访问时透露，消费领域持续低迷，加上最低薪金制开跑，促使该公司著手提升电子系统，提高工作效率和降低营运成本。

他指出，7月1日落实最低薪金制，除了导致公司承担更高的库房员工薪资外，也影响运输公司的成本，而须提高运输收费。

他解释说，哈礼盛控股將產品运输工作外包给运输公司，因此当这些运输公司將额外成本转嫁给客户，该公司不得不承担更高的运输费用。

「当然，我们会尽所能地和这些外包服务供应商洽谈价格。

不过，为了有效地控制营运成本，我们决定提升自动化系统，降低不必要的人力成本，同时也可避免人员流动造成的影响。」

併购仍在洽谈中

今年3月，哈礼盛控股也曾透露，正展开併购和扩展零售业务的洽商，以带动企业成长。

针对洽商的进展，陈宝钦表示，该公司有机会达成併购，但由於目前仍在洽谈中，无法提供更多的详情。

至于零售业务扩展计划，他则坦言，与部份跨国零售商的洽商已告吹，但还有一些还在协商阶段。他强调，这些商谈都不是一朝一日能达成的，该公司还得確保有关协议可带来盈利贡献和协同效应。

「即使达成协议，利好效应估计也需要几年才会发酵，为企业带来长期的成长。短期而言，我们则认为，本地消费领域，將因油价及原產品价格疲软而持续低迷，但希望本地消费情绪可以在未来2年逐步復甦。」

另一方面，出席哈礼盛控股股东大会的小股东，今日亦针对该公司向来交投平淡的股价提出询问。

被问及是否考虑通过发股，以增加股票流通量时，陈宝钦表示，该公司不排除日后派送红股，回馈股东，惟这得胥视公司净利表现。

他解释说，他不希望提高股票数额，却侵蚀了盈利。如果该公司净利在未来有所起色，届时，增加股票数量，也不担心每股盈利会被严重稀释，才能达到为股东提高价值的目的。【东方网财经】

The Board of Directors of Harrisons is pleased to announce that Harrisons Peninsular Sdn. Bhd. (“HPSB”), a wholly-owned subsidiary of the Company, had on 9 August 2016 acquired 120,000 ordinary shares representing 60% of the total issued and paid-up share capital of Marca Privada Sdn. Bhd. (Company No. 1187007-M) (“Marca”) a company incorporated on 10 May 2016 in Malaysia for a total cash consideration of RM120,000.00 (Ringgit Malaysia One Hundred and Twenty Thousand) as detailed hereunder:-   1.    Acquisition of 2 ordinary shares of RM1.00 each from Mohammed Izad Bin Ariffin and Mohd Hazrol Hisham Bin Osman; and 2.    Subscription of 119,998 ordinary shares of RM1.00 each in Marca. (collectively known as “Acquisition of Shares”). In consequent thereto, Marca shall become a 60% owned subsidiary of HPSB. Marca has an issued and paid-up share capital of RM200,000.00 comprising 200,000 ordinary shares of RM1.00 each. The intended principal activities of Marca are procurement and marketing of consumer products. The Acquisition of Shares have no material effect on earnings per share nor net assets per share of Harrisons Group for the financial year ending 31 December 2016.
