通用控股AGM陷混乱

（雪邦22日讯）槟城产业发展商通用控股（Multi-Usage Holdings Bhd，MUH）昨日召开的股东常年大会（AGM）陷入混乱，因小股东决定“接手”主持大会。
小股东告诉《The Edge》财经日报说，他们决定接手该会议，因不满进行的方式，然后继续股东大会。
原先的会议是由通用控股董事部进行，其中包括集团执行主席Ang Kim Cheng @ Ang Teng Kok、也是Teng Kok儿子的执行董事Ang Hwei Chyn，以及总执行长Kong Kai Yuen。
股东大会由Teng Kok主持。
小股东声称，在会议期间，通用控股董事部成员试图强行通过或草率回答关于截至今年6月30日止财政年的财务报表，尤其是审计师发表了保留意见（qualified opinion）。
他们还对UHY FLVS私人有限公司在2月份进行的特别审计后采取的后续行动提出质问，之后通用控股在11月暂停非独立非执行董事Tan Chew Hua的职务。
通用控股董事部指出，暂停Tan的职务两个月是为了调查审计师报告和特别审计报告中强调的事项。
其中一名小股东透露：“在会议期间，我们坚持董事部暂停Tan职务是无效的。因此，我们不接受通用控股声称最后两位常务董事是Teng Kok和Hwei Chyn。”
通用控股指出，将在本次大会连任董事的Datuk Abdul Hadi Awang Kechil、Ang Ai Way、Cheah Chin Huat、Abd Aziz Mat和Tan Choon Heong，在大会召开前撤回竞选董事职。
该公司随后说，根据1965年公司法令第122条文，Teng Kok和Hwei Chyn是公司的董事。该条文规定每家公司至少应该有两名董事。
这导致小股东自己做主，并自己进行股东大会，这导致Teng Kok、Hwei Chyn、Kong和通用控股律师顾问及公司秘书离开会议室。
Hwei Chyn在场外与记者会面时说，唯一有效的股东大会是由他父亲主持的。
“股东大会是有效的，因为我们已经举行了一次正式的会议，且该会议已经结束，所以从法律角度来看，我们不会承认（第二个股东大会）。”
他还说，大约有4至5名的股东正收到“某人”和其一致行动人士的指示。这些股东对通用控股董事部成员提出法律诉讼。
不过他拒绝透露所指的人全名。
通用控股最大股东是Topazvest Temasek私人有限公司，控有27%股权。Topazvest是Hwei Chyn家族以及被暂停职务的Tan家族的投资工具。
Hwei Chyn表示：“我的家族控制了Topazvest约40%，而他们（Tan家族）和其他家族持约60%。”
他说，董事没有强行通过股东以及小股东权益监管机构（MSWG）提出的问题。
“我们告诉股东在大会后提出他们的问题，因为我们想首先处理股东大会的议程。我们会回答MSWG的问题，我们亦会就是否应在大马交易所公布而寻求法律意见。”
通用控股在2008年和2009年进行了债务重组计划，通过签署债务偿还协议、更新协议和担保协议，偿还所有欠款，并成立一家名为Wealthy Achiever私人有限公司的特别用途公司（SPV）协助这项活动。
该公司早前在文告指出，根据债务重组计划，SPV将负责偿还大马华侨银行的410万令吉欠款。
通用控股将向SPV支付1576万令吉无息欠款，若提早偿债可获现金折扣。
今年3月，通用控股宣布特别审计报告，结果显示SPV与某些董事有关。
该公司审计师德勤对集团2016财年的财务报表发表了保留意见，因无法确定SPV和通用控股之间在债务重组的关系。
审计师指出，无法就董事们在附注35（b）中，指集团没有控制该SPV，且双方之间的交易不是关联方交易的声明作出结论。
根据通用控股，附注35（b）是关于集团以前欠下总值3613万令吉的未偿还贷款。
尽管如此，通用控股保持获利。该公司今年内两次更改财政年末，从12月31日改至4月30日和6月30日。
通用控股昨日宣布，收到原告Hwei Chyn和一致行动人士的提告，要求包括Tan的13名被告，作出强制全面收购，以及采取2015年11月19日判决中列明的其他行动。
法庭已定于明年1月5日审理。

通用控股退出混凝土业务
2017年1月21日
（吉隆坡20日讯）通用控股（MUH，9539，主板产业股）宣布，旗下的Multi-Mix私人有限公司（简称MMSB），决定退出预拌混凝土和建材贸易业务，即日生效。
通用控股向马交所报备，截至去年4月30日的经审计财务报表，MMSB共蒙亏8万9217令吉，而截至9月30日未审计的业绩，则显示该公司亏损10万9515令吉。
董事部相信，MMSB的前景持续充满挑战，因此，退出该业务才有望减轻集团的亏损。【e南洋】

通用控股停職董事 未經授權使用公司信頭

（吉隆坡20日訊）通用控股（MUH，9539，主要板房產）執行董事洪定國（譯音）向警方舉報，有關公司信頭遭未授權使用。
通用控股向馬證交所報備，公司非執行董事陳秋華（譯音）于去年12月22日未經授權使用公司信頭發出兩封信函，指出羅祥耀（譯音）等人獲授權對通用控股賬目進行審核，並稱公司秘書已被解雇。
同時，陳秋華亦未經授權將公司文件提交予大馬公司委員會（CCM）。
通用控股指出，陳秋華已被暫停履行董事職責。因此，他沒有權利使用公司信頭發出任何信件，亦無權對公司賬目進行審核，以及終止公司秘書的職務。【中国报财经】

非法使用公司信头发函
通用控股董事无罪释放
2017年4月15日
（吉隆坡14日讯）通用控股（MUH，9539，主板产业股）宣布，现任董事与前任董事被槟城推事庭宣判无罪释放。
通用控股向交易所报备，这四名董事分别是执行主席洪定国、执行董事洪辉城，以及前董事谢振发和阿都阿兹（人名皆译音）。
上述董事是因为无法发出公司常年股东大会的通知，而面对提控。
目前，另一名董事陈邱华也被调查中。
董事部也再度延长陈邱华的停职期限2个月，至5月28日。
洪定国是在今年1月19日，针对陈邱华未经授权使用公司的信头，及呈交未经授权的文件给大马公司委员会（CCM）而报警。
当时，该公司表示，陈邱华是一名非执行董事，且已经被暂停职务，因此没有权利可以合法使用公司的信头来发函。【e南洋】

通用控股3股东欲委6新董事
（吉隆坡13日讯）通用控股（MUH，9539，主板产业组）股东纠纷升级，管理层分别收到3份来自股东通知书，表示将在来临12月29日股东大会上，委任共6位人士为公司非执行董事。
该公司在文告中指出，他们将就此寻求法律意见，若有最新进展将在交易所网站上公布。
3份通知书分别是（人名皆译音）王万发委任陈志萍、陈焕平、邱建松为公司非执行董事；蔡勇强委任林财莱为非执行董事以及林财莱委任蔡勇强以及王建平为非执行董事。

通用控股1股东将自荐董事
（吉隆坡19日讯）通用控股（MUH，9539，主板产业组）又一位股东致函管理层，表示将在下周五（12月10日）的股东大会上，自我推荐成为公司董事。
该公司在文告中指出，周一收到来自股东陈顺辉（译音）信函，信中表示他将在股东大会寻求股东批准，成为该公司董事。
涵盖之前6被被提名进入董事部人选在内，这是通用控股第7位被提名进入公司董事部的股东。

通用指申请逾期
黄建平入董事局碰壁
2018年3月7日
（吉隆坡6日讯）有股东提名自己和他人加入董事部，并要求在股东大会上寻求其他股东批准，对此，通用控股（MUH，9539，主板产业股）称，对方的申请迟了2个月，受律法所限已恕难从命。
通用控股昨天向马交所报备，股东黄建平3月1日发信给公司，提名自己和同伴拿督尔俊达（人名皆译音）加入董事部，并要求在3月13日举行的股东大会上寻求批准。
为此，通用控股回应，其实，公司的股东大会在去年12月29日已经进行了一半，并已完成了数个议程。获高庭批准后，股东大会的下半场，延至今年才举行。
根据条规，任何股东提名须于股东大会的11天之前提呈给公司，而黄建平的申请，无疑是晚了超过2个月。
另外，公司称，延后的股东大会，并非在3月13日举行。

通用控股通知時間不足 小股東要求順延12日大會
2018年3月11日
（吉隆坡11日訊）通用控股（MUH，9539，主要板房產）的小股東挑戰公司沒有給予足夠的通知，以順延將在3月12日舉辦的第25屆股東大會。
財經週刊《焦點大馬》報導，據悉這起事件已引起監管單位的關注。
部分股東爭議，根據2016年公司條例第316(2)(a)條文，股東大會的通知需在21天或更早之前發出。
據一家公司秘書指出，如果順延會議是在休會后的30天內執行，公司無需發行21天的通知信。他也提醒股東，應該留意股東大會以及順延會議的章程。
針對通用控股的情況，該公司的會議已順延超過30天，公司條例也限定該公司必需要發出通知信。
該公司在3月2日發出順延會議通知，以在3月12日舉行會議。通用控股的第25屆股東大會通知是在去年12月29日舉辦，通知信則在12月6日發出。
在股東大會舉辦的前一天，公司接獲其中一名股東陳順飛（譯音）發出信函，有意自薦加入董事局，但通用控股挑戰此事，因此順延股東大會。【中国报财经】 |
