委新董经财务总监


2017年7月8日
(吉隆坡7日讯)首要传媒(MEDIA,4502,主板贸服股)宣布一系列人事变动,董事经理拿督斯里安林阿瓦鲁丁及财务总监莫哈末阿利夫,双双辞职。

首要传媒今日向交易所报备,安林阿瓦鲁丁及莫哈末阿利夫的任期将到8月1日截止。

新任董事经理拿督卡马卡立及财务总监法妮达将从8月2日开始接任。

毕业于英国诺丁汉大学法律系学士,卡马卡立目前是首要媒体电视网络总执行长。

他2009年5月4日,加入首要传媒。在这之前,卡马卡立曾是首相署通讯单位的主管。

现年40岁的法妮达在会计、金融、业务保障,及企业顾问方面,拥有超过18年的经验。

在接任新职务前,她是首要传媒的高级经理。

而莫哈末阿利夫以想尝试其他挑战为由,辞去首要传媒财务总监一职。他2010年4月15日,就开始担任该职位。

传安林加入森那美房产

另外,《星报》引述消息,安林阿瓦鲁丁会离开首要传媒,是为了要加入森那美(SIME,4197,主板贸服股),掌管房产业务。

安林阿瓦鲁丁是在2009年9月1日,加入首要传媒董事部。【e南洋】

CREDITORS' VOLUNTARY WINDING UP OF AN ASSOCIATED COMPANY.
Media Prima Berhad (MPB or the “Company”) wishes to inform that the Board of its associated company, Malaysian Newsprint Industries Sdn Bhd (“MNI”), had on 1 August 2017 appointed Mr Lim San Peen of PricewaterhouseCoopers Advisory Services Sdn Bhd as the Interim Liquidator to commence creditors’ voluntary winding up proceedings of MNI in accordance with Section 440(1) of the Companies Act 2016 (“Creditors’ Voluntary Winding up”).

MNI, an indirect associate of MPB by virtue of The New Straits Times Press (Malaysia) Berhad’s 21.36% direct equity interest is not a major associated company of MPB. MNI was incorporated in Malaysia on 4 August 1976 and is principally engaged in the manufacture and sale of newsprint.

The Board of MNI was of the opinion that MNI could not continue its business. MNI had been operating under very difficult market conditions, especially declining newsprint demand, and has incurred losses for the past 3 years.

Arising from the Creditors' Voluntary Winding Up, Media Prima Berhad Group (the "Group") will make a full impairment of RM142.4 million which is the Group’s carrying amount of investment in MNI as at 30 June 2017, and this will have an adverse impact on its financial quarter ended 30 June 2017.  Apart from the one-off impairment, the liquidation of MNI will not have any other adverse impact on the Group, and going forward, the Group will no longer have to equity account the results of MNI.  In the event of any residual value from the liquidation process, the Group will recognise any recoveries in future periods.

This announcement is dated 1 August 2017.



马新闻纸工业清盘.首要媒体摆脱包袱


(吉隆坡2日讯)涉足制造及销售新闻纸的大马新闻纸工业公司(MNI),周二(2日)启动清盘程序。

目前,丰隆工业(HLIND,3301,主板消费品组)和挪威公司Norse Skog Papers分别持有该公司的33.65%股权,其他股东包括首要媒体(MEDIA,4502,主板贸服组)和常青集团持股各报21.36%和11.34%。

分析

消息公布后,丰隆工业和首要媒体双双下跌。

全天闭市,丰隆工业跌22仙至10令吉24仙,首要媒体也挫1.5仙至87.5仙。

一般而言,由于MNI并非丰隆工业主要联号公司,因此清盘活动对首要媒体的影响更明显。

过去3年皆赤

受需求减少和成本增加影响,MNI过去3年皆面对赤字,2016财政年更蒙受4720万令吉净亏损。

首要媒体将在截至6月止第二季为MNI清盘而减记1亿4240万令吉。

联昌研究认为,尽管首要媒体2017财政年可能因而亏损1亿1000万令吉,但摆脱这家亏损的联号公司后,该公司2018至2019财政年盈利预测反而会提高4至8%。

不过,联昌说,在完成清盘前,该行无意调整盈利预测。

大众研究则估计,首要媒体2017财政年恐怕会净亏8070万令吉。

达证券原本看好MNI将转亏为盈,并为首要媒体贡献收益,目前决定暂时按兵不动。

传首要传媒供应Netflix本地节目

(八打灵再也7日讯)消息透露,首要传媒(MEDIA,4502,主板贸服股)旗下Primeworks Studio私人有限公司,将在透过Netflix供应本地制作的内容给国际观众。

根据《The Edge》,消息人士指出,Primeworks将推出5个马来文和中文节目,并于今日(7日)透过Netflix播出。

“即将在全球最大串流电视平台播出的电影与电视剧,其中包括Sejoli:Misi Cantas Cinta、KL Zombi、Rembat、Hati Perempuan,以及中文电视剧–假面。”

冀国际贡献20%营收

消息也说,Primeworks无法预测通过提供本地制作内容予Netflix的赚取收入。

不过,Primeworks放眼在未来的2020年,国际销售预计贡献营业额,从目前的单位数,增加至20%。

截至3月杪的2017财年首季,由于传统媒体广告放缓和电子媒体冲击,导致广告和报纸销售减少,首要传媒蒙受3846万5000令吉净亏,营业额也年跌10.5%至2亿7220万令吉。【e南洋】

(吉隆坡14日讯)首要传媒(MEDIA,4502,主板贸服股)连亏两季度,截至6月杪次季,净亏1亿3290万9000令吉或每股11.98仙,上财年同季净赚2791万7000令吉。

首要媒体今日向交易所报备,营业额从3亿4955万1000令吉,收窄5.95%至3亿2876万9000令吉。

首季时,该集团净亏3846万5000令吉,或每股亏3.47仙。

累计首半年,净亏1亿7137万4000令吉。

营业额则按年减少8.05%,写6亿96万9000令吉,归咎于广告和报纸销售低迷,拖累上半年表现。

此外,首要传媒进军数字和消费者新业务,来与传统媒体业务互补,仍处于萌芽期。

七个业务中,电视网络、印刷媒体、广播网络和内容创作的营业额皆下跌,只有户外媒体和数字媒体的营业额上涨。

至于家庭购物业务,因仍处于萌芽期,现阶段表现失利。

由于广告收入和媒体消费持续转向数字化,首要媒体料下半年依然备受挑战。

尽管首要媒体进军数字和消费者新业务的增长令人鼓舞,但尚未显著贡献公司,预计今年继续处于萌芽期。

为了保持弹性,首要媒体致力于捍卫传统业务的收入来源,及努力提升收入流,并专注于通过我国以外的综合媒体和扩张,增加商业收入。【e南洋】

未来数月或再减记
首要传媒2年财测大砍

(吉隆坡15日讯)由于首要传媒(MEDIA,4502,主板贸服股)可能会在未来几个月继续整顿公司,或将进一步出现减记,分析员大砍2017和2018财测。

首要传媒连亏两季度,截至6月杪次季,净亏1亿32901万令吉,而首半年则净亏1亿7137万令吉,这逊于市场预期。

肯纳格投行分析员指出,首要传媒再交出另一个令人失望的首半年业绩,因而把2017至2018财年净利预测调低94%至43%。

同时,虽然次季出现一次过减记,但首要传媒相信,接下来仍有进一步整顿的空间。

通过执行Odyssey策略,集团将进一步优化成本架构,与数字转型目标一致。

Odyssey策略是一项新的转型计划,以在非广告、非电视与印刷,在大马以外及数字业务,赚取新的收入来源。

该计划焦点将放在打造具备吸引力的节目内容,及环绕在数字平台。

此外,管理层相信,有必要检讨营运及管理成本,以提升效率。

减人力冲击短利

值得注意,截至2016财年底,该集团拥有4150名雇员,其中,有23%属于非长期雇员。

该集团计划在第三季进行自愿离职计划(VSS),作为优化成本措施之一,大众投行分析员认为,这将成为整体净利的潜在下行风险。

印刷广告收入年减10%

另一方面,由于首要传媒在2017财年持续亏损,且考虑到传统印刷及电视广告开销大幅下跌,所以联昌国际投行分析员把2018至2019财年每股净利预测调低50%至59%。

举例,该集团预计,印刷广告收入每年减少大约10%。

“我们认为,今年会是充满挑战的一年,因为国内经济明朗,导致消费者情绪继续疲弱,这让广告收入前景黯淡。”

同时,消费者持续转向数字媒体,也冲击传统平台的广告开销比例。



派息前景不明朗

首要传媒在次季没有派发股息,令肯纳格投行分析员感到意外,但考虑到疲弱业绩表现,这也属合理行为。

“虽然管理层目前对股息政策保持不变,既是派发60%至80%净利给股东,但集团却不排除会在未来数个月重新评估,以便能够与业务方向一致。”

同时,根据大马投行分析员的分析报告,首要传媒指出,接下来无法确定派息,一切有赖于新2016年公司法令的偿付能力测试而定。

“因此,我们把2017至2019财年的股息预测,从7仙,降低到无派息至3仙。”

进军汶莱串流服务

首要传媒电视网络(MPTN)与汶莱的Datastream科技私人有限公司(DST)合作把前者旗下出名的OTT(Over The Top)串流服务——Tonton,打入汶莱。

这项策略营销合作,让DST在汶莱的客户可通过Tonton应用程式,随时随地收看Tonton的特权。

MPTN Tonton与品牌授权及推销董事艾琳再努指出:“Tonton自去年推出以来,已迈出很大步 ,而目前则通过这项专有合作把优质的大马及国际节目内容打入汶莱,以扩大企业帝国。”

Tonton拓展国际

她补充,集团旨在扩展Tonton至国际市场。

今年5月,首要传媒亦与新电信(SingTel)签署类似合作协议,打入新加坡市场。同时,将会在今年底进军另一个市场。

“到了今年底,我们希望可进军多一个区域国家,以外扩大品牌及节目内容,把本地节目内容打入全世界。”

DST副总执行长马尔萨说,这项合作将让DST提供更广泛的资讯娱乐服务选项给用户,且由于该公司是目前唯一一家提供4G服务的公司,所以持续提升客户的数字体验,且看好他们将享受收看Tonton。【e南洋】

首要传媒冀数字业务翻倍

(吉隆坡16日讯)首要传媒(MEDIA,4502,主板贸服股)董事经理拿督卡马卡立指出,数字业务目前贡献5至10%营业额,他放眼在3年内该比重可翻倍增长。

卡马卡立认为,数字业务所需的投入不大,但却可以有很可观的回报。

“举例来讲,投资一家电视台可能需耗资1000多万令吉,但投资数字平台,可能需要的只是买入伺服器,和招揽一些有创意的人才。”

他是在出席子公司首要传媒数字公司(Media Prima Digital,简称MPD)与大马数字经济机构(MDEC)的合作协议签署仪式后,对媒体发表上述谈话。

他也点出,公司要拓展数字业务的难度不大,因为现有的传统业务也已经有数字平台。

与MDEC推动电玩业

“我们的印刷、电视和广播媒体,都已有相关的网页或网络平台。”

不过,卡马卡立指出,传统业务,包括印刷和电视业务在内,目前仍贡献70至75%营业额,而这2项业务正面临不同程度的挑战。

“印刷媒体的消费市场每况愈下,但电视业务却有些不一样。视频市场的消费者依然很多,而我们的视频串流服务Tonton,有700多万注册用户,可能是大马用户数量仅次于Youtube的视频平台。”

另一方面,MPD今日与MDEC签署谅解备忘,双方将合作推动本土的电玩领域。

今日其他出席者,包括MDEC总执行长拿督雅思敏玛慕、营运总监拿督黄婉冰,和MPD总执行长拉菲克拉扎里。

未敲定自愿遣散计划细节

另一方面,有关盛传首要传媒将再度裁员一事,卡马卡立指出,尚未敲定“自愿互惠遣散计划”(Mutual Seperation Scheme,简称MSS)的细节。

“公司要转型已不是个秘密,而MSS是为了回馈老员工对公司多年的贡献而设。”

他也点出,仍需再三考虑公司的情况,才能够做出裁减多寡的决定。

在2014年,首要传媒曾进行相同计划,成功减少10%的人力资源。

另外,展望下半年,卡马卡立认为媒体领域仍然充满挑战,因此,他估计公司的业绩不会有太大的改善。

首要媒體委任3高層

(吉隆坡28日訊)首要媒體( MEDIA,4502,主要板貿服)宣布3項重要人事異動,分別委派新的首要媒體電視網絡(MPTN)總執行長、重要賬戶管理和媒體銷售規劃主管,以及新海峽時報(馬)公司總商業長。

該集團發文指出,澳洲莫納什大學商業會計系畢業、現年42歲的佐漢伊沙受委擔任首要媒體電視網絡總執行長,10月2日生效。他將監督集團旗下的TV3、ntv7、8TV、TV9、tonton,以及家庭購物業務CJ Wow Shop。

另外,擁有逾20年銷售經驗、46歲的范俊業被委任為重要賬戶管理和媒體銷售規劃主管,10月16日生效。

擁有紐約大學行銷管理碩士學位、41歲的艾菲安,是在本月15日起受委擔任新海峽時報(馬)公司總商業長。【中国报财经】

傳三菱日聯金融頻增持 首要媒體成收購目標?

(吉隆坡22日訊)向來股價沒有太大波動的首要媒體(MEDIA,4502,主要板貿服),過去一個月來出現漲勢,短短一個月內股價漲幅高達25%;市場盛傳首要媒體或已成為被收購的目標。

據悉,首要媒體的主要股東三菱日聯金融集團(Mitsubishi UFJ Financial Group),正透過摩根士丹利(Morgan Stanley)慢慢累積首要媒體股權。

據財經週刊《The Edge》報導,三菱日聯金融集團是在今年4月崛起成為首要媒體主要股東,至今年10月17日,已增持股權至8.93%。以首要媒體市值9億4840萬令吉計算,三菱日聯金融集團手持股權價值高達8470萬令吉。

截至今年6月底次季,首要媒體虧損達1億3290萬令吉,當時被許多分析員看貶,給出“持有”及“脫售”評級,據“彭博社”綜合分析員平均12個月目標價格也只有74仙。

罕有增持股權

對三菱日聯金融集團而言,將資金注入這家正面臨虧損的公司,是一筆不小的金額,若是以收購為前提則另當別論。

據“彭博社”資料顯示,三菱日聯金融集團同時也持有聯昌集團(CIMB,1023,主要板金融)總值25.4億令吉或4.56%股權。

但剔除聯昌集團,三菱日聯金融集團並沒有在任何公司持有超過0.02%的股權或投資超過500萬令吉。

為此,首要媒體是三菱日聯金融集團在大馬持有第2最多股權的公司,后者罕見地自今年4月起每一天累積數十萬首要媒體股權確實已讓市場投資者感到好奇。或許三菱日聯金融集團看到了別人沒有看到的潛能。

負債低持56英畝地庫

管首要媒體面對激烈競爭,但其資產負債表相對是很健康的,至少是沒有太多負債,僅持有一項總值3億令吉的5年期中期票據,而有關票據將在12月28日屆滿。

截至6月底次季財報,首要媒體手持現金達到2億8690萬令吉。不過根據最新發展,首要媒體剛在8月1日以1億500萬令吉完成收購Rev Asia私人有限公司及Youth Asia私人有限公司股權。

意味著,首要媒體目前淨債務將是1億1814萬令吉或淨負債率9.5%。

此外,該公司旗下還擁有一塊56英畝地庫,涵蓋建築物,總值達到2億3000萬令吉。當中最值錢的地段要屬目前位于孟沙Jalan Riong《新海峽時報》總部。【中国报财经】

5230万付提早退休雇员
首要传媒第三季亏逾1亿

(吉隆坡29日讯)核心广告收入下滑,加上需为雇员提早退休计划(ERS)支付5230万令吉,导致首要传媒(MEDIA,4502,主板贸服股)截至9月30日第三季,蒙受1亿108万5000令吉净亏。

该公司向马交所报备,上财年同季净亏1亿935万7000令吉,因此相比之下按年亏损已有所收窄。

同期营业额则按年跌8.92%,报2亿8851万4000令吉。

电视网络业务转亏

根据文告,电视网络业务的营业额跌18%,可归咎于广告开销的走跌。另外,该业务按年也由盈转亏,净亏5520万令吉。

印刷媒体营业额跌19%,而户外媒体的营业额则年增5%。不过,后者的净利却暴跌73%,原因是需支付捷运业务的初创成本。

另外,广播电台网络营业额跌5%,导致业务净利挫30%。数字媒体业务方面,因有REV亚洲的积极贡献,营业额按年高收41%。

数字媒体开始增长

累计首九个月,公司净亏2亿7245万9000令吉;营业额则减8.34%,报8亿8948万3000令吉。

展望未来,首要传媒预见广告开销和消费群的方向仍会继续转向数字媒体。虽然公司的数字媒体业务仍处于摇篮阶段,但如今已取得了令人鼓舞的增长。【e南洋】

联营捷运广告DBOT

(吉隆坡22日讯)首要传媒(MEDIA,4502,主板贸服股)和盛艺机构(SJC,9431,主板贸服股)联手,设计、兴建、经营和转移(DBOT)捷运广告。

首要传媒向交易所报备,独资子公司Big Tree户外私人有限公司与盛艺机构旗下的Seni Jaya私人有限公司签署协议,成立联营公司Big Tree Seni Jaya私人有限公司(BTSJ)。

这家联营公司将为捷运双溪毛糯(Sungai Buloh)Jajaran—加影路线,设计、兴建、经营和转移广告。

根据这项联营协议,Big tree和Seni Jaya分别持有联营公司的60%和40%股权。

BTSJ主要业务是高速公路、交通工具和零售空间的广告顾问、承包商和代理;买卖任何媒体的广告时间、空间或机会,举办广告及宣传活动。

JOINT VENTURE AGREEMENT (JVA) BETWEEN BIG TREE OUTDOOR SDN BHD (318264-M) AND SENI JAYA SDN BHD (109563-X) AND BIG TREE SENI JAYA SDN BHD (1204603-T)
1.0     INTRODUCTION

We refer to our announcements on 29 September 2016 and 11 October 2016.

The Board of Directors (“Board”) of Media Prima Berhad (“MPB / the Company”) wishes to announce that its wholly owned subsidiary, Big Tree Outdoor Sdn Bhd (“BTO”) had on 22 December 2017 entered into a Joint Venture Agreement (“JVA”) with Seni Jaya Sdn Bhd (“SJSB”) and Big Tree Seni Jaya Sdn Bhd (“BTSJ” or “JVCO”) to design, build, operate and transfer (DBOT) advertising media of Projek Mass Rapid Transit (MRT), Lembah Kelang – Jajaran Sungai Buloh - Kajang (KVMRT – SBK Line) for Mass Rapid Transit Corporation (“the "Project”).

2.0     INFORMATION ON PARTIES TO THE JVA

2.1     BTO

BTO (Company No. 318264-M) was incorporated under the laws of Malaysia on 1 October 1994 and is principally engaged in the business of integrated outdoor advertising.

The share capital and number of issued shares of BTO is RM3,024,839 comprising 2,600,000 Ordinary Shares and 42,483,900 Redeemable Preference Shares, all of which have been issued and fully paid.

2.2     SJSB

SJSB (Company No. 109563-X) was incorporated as a private limited company in Malaysia on 10 November 1983. SJSB is a wholly-owned subsidiary of Seni Jaya Corporation Berhad. The share capital and number of issued shares of SJSB is RM4,920,000 comprising 4,920,000 ordinary shares all of which have been issued and fully paid-up. SJSB’s principal activities involve the rental of advertising display structures on prime outdoor locations across Malaysia.

BTO and SJSB are collectively referred to as “the Shareholders” or “the Parties”.

2.3     BTSJ or JVCO

BTSJ (1204603-T) was incorporated as a private limited company in Malaysia on 10 October 2016. BTSJ’s principal activity is to carry on the business of advertising consultants contractors and agents in expressways, transit and retail; and to acquire and dispose of advertising time, space or opportunities in any media, to undertake advertising and promotional campaigns of every nature.

Its current share capital and number of issued shares is RM2.00 comprising 2 Ordinary Shares all of which have been issued and fully paid.

3.0     SALIENT TERMS OF THE JVA           

3.1     Shareholding Structure and Board Composition of the JVCO

i.     The shareholding structure of the JVCO shall be held by BTO and SJSB in the ratio of 60% and 40% respectively.   

       The share capital of the JVCO shall be capped at Ringgit Malaysia One Million (RM1,000,000) during the tenure of the JVA.  Any increase to the share capital of the JVCO               shall be subject to the unanimous consent of the Shareholders obtained prior thereto.

       The breakdown of the total capital and investment outlay will be according to the proportion of interest of the Parties.

ii.     The board of directors of the JVCO shall comprise five (5) directors, three (3) of whom shall be nominated by BTO and two (2) of whom shall be nominated by SJSB.

4.0     RATIONALE

The Parties have agreed to enter into this JVA for the purpose of recording the terms and conditions agreed between them with respect to their joint venture and for the purpose of regulating their relationship with one another and certain aspects of the affairs and their dealings with and in the JVCO.

The Parties have agreed that the JVA will not restrict the Parties’ daily business operations.

5.0     RISK FACTORS

The risk related to the transaction in connection with the joint venture are typical to any commercial contract. These include breaches or non-performance of joint venture or other obligations under the joint venture.

6.0     SOURCE OF FUND & EFFECTS OF THE JVA

The financial commitment of the joint venture shall be funded from internally generated funds.

The joint venture is not expected to have any material effect on earnings per share, net assets per share, and gearing of MPB for the financial year ending 31 December 2017. It will not have any effect on the share capital and substantial shareholder’s shareholding of MPB.

7.0     HIGHEST PERCENTAGE RATIO

The highest percentage ratio applicable to the joint venture pursuant to Paragraph 10.02(g) of the Main Market Listing Requirement of Bursa Malaysia Securities Berhad is 1.04%.   

8.0     APPROVAL REQUIRED

The JVA is not subject to the approval of the shareholders of MPB and/or any governmental authority.

9.0     DIRECTOR’S AND MAJOR SHAREHOLDERS’ INTEREST

None of the Directors, and/or major shareholders of MPB, and/or persons connected with them, has any interest, direct or indirect, in the JVA.

10.0    STATEMENT BY THE BOARD OF DIRECTORS

The Board of Directors of MPB is of the opinion that the joint venture is in the best interest of the Group.

11.0    DOCUMENTS AVAILABLE FOR INSPECTION

Details of the JVA will be available for inspection at the registered office of the Company at Balai Berita, Anjung Riong, Level 3, 31 Jalan Riong, Bangsar, 59100 Kuala Lumpur, during normal business days from Mondays to Fridays (except public holidays) for a period of three months from the date of this announcement.

同期营业额跌3.9%,报3亿618万9000令吉。

全年而言,净亏扩大至6亿5061万1000令吉;营业额挫7.2%,报11亿9567万2000令吉。

首要传媒向交易所报备,当季营业额按季跌6%及蒙受亏损,主要归咎于传统广告收入趋势走跌及数个单次事件。

若排除单次事件,当季净亏实为8200万令吉。

根据文告,所谓的单次事件包括产业、厂房与设备减值、裁员赔偿拨备等。

该公司旗下的电视网络业务,营业额增长25%,因广告客户在年杪和佳节期间投入更多广告开销。

印刷媒体方面,营业额则因为广告和发行收入滑落而跌26%。至于户外媒体,营业额则扬升14%。

电台网络的营业额也起23%,数字媒体得益于REV亚洲(REV,0173,创业板)的贡献,营业额涨35%。

而节目创作业务的营业额则减少29%,不过,家庭购物业务则适逢年杪假期,营业额录得10%增长。

全年营业额跌7%

首要传媒表示,全年营业额走跌7%,归咎于广告和报纸销量减少,因市场转向数字媒体的趋势,已显著冲击集团的传统媒体业务。

不过,该公司也有进军新数字和以消费者为主的业务,旨在辅助传统媒体业务,而这些举措仍处于消化期。

展望2018年,首要传媒将继续转型之路,并付出更多努力,以加速创造营业额。

首要传媒坦言,媒体领域的结构性变化,预计会持续影响传统媒体公司。为了保持强韧及与时并进,公司将致力于转型,捍卫传统营业额之际,同时也增加新营业额来源。

全年而言,净亏扩大至6亿5061万1000令吉;营业额挫7.2%,报11亿9567万2000令吉。

行家建议:

首要传媒的末季表现低于我们预期,也能理解该公司为何没有派息。

广泛来看,该公司仍因客户消费从传统媒体转向数字媒体而受压,且广告开销情绪也疲弱。

电视和印刷业务仍是拖累表现的罪魁祸首,核心亏损分别达7660万和1.187亿令吉。所幸公司采取节约成本举措,以缓冲跌势。

另外,家庭购物业务持续走高,营业额增长超过100%,随着推介更多本地产品,这业务有望在年杪转盈。

我们认为,传统媒体在2018财年的前景仍充满挑战,虽然国内生产总值表现强劲,但却没有转化为更多的广告开销。

不过,接下来的大选是个潜在的亮点,也是唯一的催化剂。

首要媒体朝向数码化 电视购物明年赚钱

(吉隆坡25日讯)首要媒体(MEDIA,4502,主板贸服股)打算继续朝向数码化发展,並预期电视购物业务能够在2019財政年转亏为盈。

管理层今日对股东表示,虽然数码业务无法弥补传统业务的亏损,但公司仍须继续寻找新的盈利来源。同时也表示对今年业绩表现好转有信心,但无法预测何时整体盈利能够转亏为盈。

据一名不愿具名的小股东称,该公司管理层在今日的股东大会上回答小股东监察机构(MSWG)的提问时指出,相信今年电视购物业务(CJ Wow Shop)將继续亏损,明年才能够开始取得盈利。该业务在2017財政年(12月31日结账)蒙受1550万令吉的亏损,营业额则大增110.8%,至1亿2950万令吉。

在该公司的所有业务中,电视业务和平面媒体业务共佔约68%或8亿1336万令吉,数码媒体业务只4.65%,而电视购物业务占约10.8%。其他业务还包括户外媒体、电台和內容创作。

该名小股东指出,公司主席丹斯里依斯米依斯迈在股东大会上表示,传统媒体正遭受数码媒体的剧烈衝击,首要媒体也无法倖免。但作为继谷歌和面子书之后,大马覆盖率第3大的数码媒体,该公司对盈利前景有信心。虽然目前未能获利,但已在数码媒体领域打下了基础。

2017財政年,首要媒体蒙受6亿6970万令吉的税后凈亏损,但若排除一次性项目,税后净亏损將缩小为1亿7230万令吉。上述一次性项目中,有近70%是遣散《新海峡时报》(NSTP)员工的费用。管理层透露,遣散员工的计划大致完成,今年预计不会再作出大笔的减值。

早前有媒体报导指,首要媒体旗下的首要媒体数码公司(MPD)有意通过合併与收购来推动数码媒体业务成长。小股东在大会上询及此事时,董事经理拿督卡玛卡立坦承,这是公司未来的方向,不过,目前没有具体的项目正在进行中。而公司也將视情况来决定如何融资收购,不排除发股集资。

该公司的负债率从截至2016年杪的0.2倍,大增至截至2017年杪的0.4倍。对此,管理层解释道,这不是因为贷款大幅提高,而是因为亏损导致股东基金减少至7亿7220万令吉。管理层称,该公司將致力於將负债率维持在0.2倍至0.5倍之间。【东方网财经】

PROPOSED DISPOSAL OF THE ENTIRE INTERESTS HELD IN 21.36% ASSOCIATED COMPANY, MALAYSIAN NEWSPRINT INDUSTRIES SDN BHD (IN CREDITORS VOLUNTARY LIQUIDATION) (MNI)
Media Prima Berhad (“MPB” or “the Company”) wishes to inform that its subsidiary, The New Straits Times Press (Malaysia) Berhad (“NSTP”) together with other shareholders of MNI, had entered into a Share Sale Agreement (“SSA”) on 2 May 2018 to sell their entire interest in MNI to Asia Honour (Hong Kong) Limited, with the consent of the Liquidator, Mr Lim San Peen of PricewaterhouseCoopers Advisory Services Sdn Bhd.

Pursuant to the terms of the SSA, NSTP has agreed to dispose of its:-

a. entire interest in ordinary shares of MNI for cash consideration of RM14.15 million; and

b.  entire interest in redeemable preference shares (“RPS”) of MNI for an amount equivalent to NSTP’s portion of the balance consideration after deducting inter alia all secured debts, admitted debts, liquidation costs and other agreed costs from the sum of RM338.0 million.

to Asia Honour free from encumbrances (“Proposed NSTP’s Disposal”).

The sale consideration was arrived at on a willing buyer willing seller basis, taking into account the value of the assets in MNI.

The Proposed NSTP’s Disposal will be completed on the eighth (8th) business day from the date of the SSA. The full sale consideration is expected to be received by NSTP within the third quarter of the financial year ending 31 December 2018.

The Liquidator will apply to the Court for the termination of the Creditors’ Voluntary Winding-Up of MNI after the payments of inter alia all secured debts, admitted debts, liquidation costs and other agreed costs.

The Proposed NSTP’s Disposal will enable MPB Group to recoup part of its investment in MNI which had been fully written down in financial year 2017.

The Proposed NSTP’s Disposal is not subject to the approval of the shareholders of MPB or any regulatory authorities.

None of the Directors and major shareholders of MPB and/or persons connected with them have any interest, direct or indirect, in the Proposed NSTP’s Disposal.

The Directors of MPB are of the opinion that the Proposed NSTP’s Disposal is in the best interest of the MPB Group.

Based on the audited consolidated financial statements of MPB for the financial year ended 31 December 2017 and the estimated sale considerations for the Proposed NSTP’s Disposal, the highest percentage ratio applicable to the Proposed NSTP’s Disposal pursuant to Paragraph 10.02(g) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad (“MMLR”) is estimated to be less than 5% and hence, announcement of the Proposed NSTP’s Disposal in accordance with Chapter 10 of the MMLR is not required. This announcement is made pursuant to Chapter 9 of the MMLR.
