INVESTMENT IN GHL ASIA PACIFIC LIMITED
Introduction
The Board of Directors of GHL Systems Berhad ("GHL Systems") is pleased to
announce that GHL Systems has subscribed for One (1) new ordinary share of
British Pound One (GBP1.00) each in GHL Asia Pacific Limited ("GHL AP"),
equivalent to 100% of the total issued and paid up share capital of GHL AP on 8
December 2006.
Background Information on GHL Asia Pacific Limited
GHL Asia Pacific Limited is a limited company incorporated in Labuan under the
Offshore Companies Act, 1990 on 8 December 2006.
Its present authorized share capital is British Pound One Hundred Million
(GBP100,000,000.00) comprising One Hundred Million (100,000,000) ordinary
shares of British Pound One (GBP1.00) each.
Principal activities of GHL AP
The proposed activities of GHL AP is investment holding. The company is
currently dormant.
Rationale of the Investment
The purpose of the incorporation of GHL AP is to group all Asia Pacific
subsidiaries of GHL Systems (save for the Malaysian subsidiaries) under a
common entity for management efficiency.
Effects of the Investment
The Investment will not have any effect on the issued and paid-up share capital
and substantial shareholders' shareholdings of GHL Systems. The Board of
Directors is of the opinion that the investment will not have any effect on the
earnings per share and net assets per share of the GHL Systems group for the
financial year ending 31 December 2006.
Sources of Funding for the Investment
The investment of British Pound One (GBP1.00) was funded from
internally-generated funds.
Conditions of Approval
The Investment does not require the approval of shareholders of GHL Systems.
GHL Systems has obtained all relevant approval from government authorities for
this formation.
Compliance with the Securities Commission's Policies and Guidelines on Issue /
Offer of Securities.
The Investment has not departed from the Securities Commission's Policies and
Guildelines on Issue/Offer of securities.
Director's and/or Substantial Shareholders' Interest
To the best knowledge and belief of the Board of Directors of GHL Systems, none
of the Directors and/or substantial shareholders of GHL and/or persons
connected to them has any interest, direct or indirect in the investment in GHL
AP.
Document for Inspection
The Memorandum and Articles of Association of GHL AP are available for
inspection by the shareholders of GHL Systems at the Registered Office of GHL
Systems at No. 20C, Jalan 1/64, Off Jalan Kolam Air/Jalan Ipoh, 51200 Kuala
Lumpur during office hours from Mondays to Fridays for a period of two (2)
months commencing from the date of this announcement.
Conclusion
The Board of Directors, having considered all aspects of the Investment, is of
the opinion that the Investment is in the best interest of GHL Systems Group.
