Description
INCORPORATION OF A WHOLLY-OWNED SUBSIDIARY
The Board of Directors of Perak Transit Berhad ("PTRANS" or "Company") wishes to announce that the Company has, on 15 April 2020, incorporated a wholly-owned subsidiary known as PTRANS Resources Sdn Bhd [Registration No. 202001010214 (1366534-P)] ("PTRANS Resources") under the Companies Act 2016 for investment purposes.  The issued share capital of PTRANS Resources is RM100.00 comprising 100 ordinary shares.

The incorporation of PTRANS Resources will not have any material effect on the earnings per share, net assets or share capital of the Company for the financial year ending 31 December 2020.

None of the directors and/or substantial shareholders of the Company, or persons connected to such director and/or substantial shareholder has any interest, direct or indirect, in the said incorporation.

This announcement is dated 15 April 2020.

  • The expiry date of the mining rights agreement between Gemas Perunding Sdn Bhd and Menteri Besar Incorporation (Perak), whether renewable and if so, duration of the renewable period.
  • The breakdown of the total capital and investment outlay in the joint venture project.
  • The terms of cost sharing and estimated total cost of the joint venture project, the amount to be borne by PTRANS, and sources of funding.
  • Whether the joint venture project/JV Agreement is subject to the approval of the relevant authorities. If so, the estimated time frame for submission of the application to such authorities.
  • The risks in relation to the joint venture project that the Company may be exposed to.
